Time References; Notices Sample Clauses
The "Time References; Notices" clause defines how time periods are calculated and how official communications are to be delivered under the agreement. It typically specifies when deadlines begin and end, such as whether days are counted as calendar or business days, and outlines acceptable methods for sending notices, like email, mail, or courier, including when a notice is considered received. This clause ensures both parties have a clear understanding of timing and communication requirements, reducing the risk of disputes over missed deadlines or unreceived notifications.
Time References; Notices. Unless otherwise indicated herein, all references to time of day refer to Eastern Standard Time or Eastern daylight saving time, as in effect in New York City on such day. For purposes of the computation of a period of time from a specified date to a later specified date, the word “from” means “from and including” and the words “to” and “until” each means “to but excluding”; provided, however, that with respect to a computation of fees or interest payable to any Agent, any Lender or the L/C Issuer, such period shall in any event consist of at least one full day. Any notice or report specified to be due hereunder on a date that is not a Business Day shall be due on next Business Day following such due date.
