It represents and warrants that all of the documents evidencing each of the Timeshare Loans are identical in all material respects to the form determined to be valid, binding and enforceable in the applicable state by the corresponding local counsel opinion issued by (I) Wxxxxxxxx & Sxxxx, P.C., dated December 27, 2010, pertaining to Georgia law matters, (II) Bxxxxxx, Rxxxxxxxxx and Gxxxxxx, LLP, dated December 27, 2010, pertaining to Massachusetts law matters, (III) Sxxxxxx Mxxxxxxx Hxxxxx LLP, dated December 27, 2010, pertaining to Missouri law matters, (IV) Mxxxx Xxxxx LLP, dated December 27, 2010, pertaining to Illinois law matters, (V) Meadows, Collier, Reed, Cousins, Cxxxxx & Uxxxxxxx, L.L.P., dated December 27, 2010, pertaining to Texas law matters, and (VI) Holland and Knight LLP, dated December 27, 2010, pertaining to Florida law matters (collectively, the “Local Counsel Opinions”).
