Common use of Timing of Vesting Clause in Contracts

Timing of Vesting. The Performance Shares shall vest on the third anniversary of the Grant Date (the “Vesting Date”), subject to the Company’s achievement of the Performance Goal and the Participant’s continued employment through the Vesting Date. Vesting is further subject to the provisions of this Agreement.

Timing of Vesting. The Performance Shares Units shall vest on the third anniversary of the Grant Date (the “Vesting Date”), ) subject to the Company’s achievement of the Performance Goal and the Participant’s continued employment through the Vesting DateGoal. Vesting is further subject to the provisions of this Agreement, including those relating to the Participant’s continued employment with the Company or any Subsidiary. Notwithstanding the foregoing, in the event of a Change in Control prior to the Participant’s Employment Termination, the Performance Units shall vest in full.
