Common use of TIPS Pricing Clause in Contracts

TIPS Pricing. Vendor agrees and understands that for each TIPS Contract that it holds, Vendor submitted, agreed to, and received TIPS’ approval for specific pricing, discounts, and other pricing terms and incentives which make up Vendor’s TIPS Pricing for that TIPS Contract (“TIPS Pricing”). Vendor confirms that Vendor will not add the TIPS Administration Fee as a charge or line-item in a TIPS Sale. Vendor hereby certifies that Vendor shall only offer goods and services through this TIPS Contract if those goods and services are included in or added to Vendor’s TIPS Pricing and approved by TIPS. TIPS reserves the right to review Vendor’s pricing update requests as specifically as line-item by line-item to determine compliance. However, Vendor contractually agrees that all submitted pricing updates shall be within the original terms of the Vendor’s TIPS Pricing (scope, proposed discounts, price increase limitations, and other pricing terms and incentives originally proposed by Vendor) such that TIPS may accept Vendors price increase requests as submitted without additional vetting at TIPS discretion. Any pricing quoted by Vendor to a TIPS Member or on a TIPS Quote shall never exceed Vendor’s TIPS Pricing for any good or service offered through TIPS. The Vendor certifies that during the period between the Contract submission date and the completion of the term of this Contract, should Vendor offer prices more favorable than those quoted herein, or provide changed prices more favorable than those quoted herein under a contract in effect at the contract submission date with any similarly sized school district in the United States, for the same or substantially similar items, and the same or substantially similar quantity of item(s), and for the same or substantially similar contractual time period, then the Vendor shall immediately thereafter notify Region 8/TIPS, provided that such notification requirement shall be subject to the reasonable limitations of Vendor’s systems and processes to track any offer which may be deemed to be more favorable. Regardless whether such notice is sent by the Vendor or received by Region 8/TIPS, if the foregoing conditions apply, this Contract shall be deemed amended, retroactively to the effective date of the more favorable treatment, to provide the more favorable prices.

Most favored nations pricing shall not be provided by Vendor under this Agreement. Notwithstanding the foregoing, Vendor can increase the unit pricing for any items offered under the Agreement in accordance with its standard business practice without approval from TIPS, however any discounts provided for such item pricing shall not be changed.

TIPS acknowledges that Vendor is a reseller of goods and services manufactured and supplied by third parties and that such third parties determine prices, discounts, rebate programs and other promotional incentives offered to resale partners. As such, Vendor cannot make guarantees regarding the terms, conditions or pricing applicable to an order; however, Vendor represents, warrants and agrees that it will use all reasonable efforts to offer pricing to TIPS that is as competitive as is reasonably possible based upon the circumstances at the time that an order is in place. TIPS Pricing price increases and modifications, if permitted, will be honored according to the terms of the solicitation and Vendor’s proposal, incorporated herein by reference.

Vendor may update its TIPS Pricing price increases during the life of this Agreement by (1) adding or removing items; (2) adding or removing manufacturers/brands, and modifications(3) increasing or decreasing item or hourly pricing, if permitted, will be honored according to the terms of the solicitation and Vendor’s proposal, incorporated herein by referenceas long as Vendor honor all applicable discounts originally proposed.

Pricing will be reviewed on an annual basis, and any necessary increases will be communicated in writing thirty (30) days prior to the effective date of such increase. For avoidance of doubt, the foregoing does not apply to increases in fuel surcharges, tariffs, taxes, fees, and other administrative, governmental, and similar additional charges, which will be passed through when effective.
