Common use of Title and Proprietary Rights Clause in Contracts

Title and Proprietary Rights. The Autodesk Product(s) and other materials included in or incorporated therein and included on an Autodesk web site (collectively the “Materials”) remain at all times the property of Autodesk. VAR acknowledges and agrees that Autodesk holds the copyright to the Materials and, except as expressly provided herein, VAR is not granted any other right or license to patents, copyrights, trade secrets, or trademarks with respect to the Materials. VAR shall take all reasonable measures to protect Autodesk’s proprietary rights in the Materials and shall not copy, use or distribute the Materials, or any derivative thereof, in any manner or for any purpose, except as expressly authorized in this VAR Agreement. VAR shall not disassemble, decompile, or reverse-engineer the Materials, including any Autodesk Product source code, or otherwise attempt to discover any Autodesk trade secret or other proprietary information, or hack, impede, change or interfere with any Autodesk web site. VAR acknowledges that Autodesk has an Anti-Piracy Program and VAR agrees to review and follow the Anti-Piracy Program guidelines as published by Autodesk from time to time. VAR shall notify Autodesk promptly in writing upon its discovery of any unauthorized use of the Autodesk Product(s) or infringement of Autodesk’s patent, copyright, trade secret, trademark, or other intellectual property rights. VAR shall not distribute any Autodesk Product(s) to any person or entity if VAR is aware that such person or entity may be involved in potential unauthorized use of the Materials or other infringement of Autodesk’s proprietary rights.

The Autodesk Product(s) All Intellectual Property incorporated in the Authorized Products and Authorized Services and other materials included or provided with the Authorized Products and Authorized Services, whether in existence as of the Effective Date or incorporated therein and included created later, including Intellectual Property on an Autodesk any F5 web site (collectively the “"Materials”") remain at all times the property of AutodeskF5 and its licensors. VAR Reseller acknowledges and agrees that Autodesk F5 or its licensors holds the copyright copyright, patents or other Intellectual Property Rights to the Materials and, except as expressly provided herein, VAR Reseller is not granted any other right or license to patents, copyrights, trade secrets, or trademarks with respect to the Intellectual Property Rights contained in the Materials. VAR shall Reseller will take all reasonable measures to protect Autodesk’s F5's proprietary rights in the Materials and shall not copy, use or distribute the Materials, or any derivative thereof, in any manner or for any purpose, except as expressly authorized in this VAR Agreement. VAR Reseller shall not disassemble, decompile, or reverse-engineer the Materials, including any Autodesk Product Authorized Product(s) source code, or otherwise attempt to discover any Autodesk F5 trade secret or other proprietary information, or hack, impede, change or interfere with any Autodesk F5 web site. VAR Reseller acknowledges that Autodesk has an Anti-Piracy Program and VAR agrees it is not required to review and follow access the Anti-Piracy Program guidelines as published by Autodesk from time source code in order to timefulfill its duties under this Agreement or to otherwise xxxxxx interoperability of F5’s Products. VAR Reseller shall notify Autodesk F5 promptly in writing upon its discovery of any unauthorized use of the Autodesk Product(s) Authorized Products or Authorized Services or infringement of AutodeskF5’s patent, copyright, trade secret, trademark, or other intellectual property rightsIntellectual Property Rights. VAR Reseller shall not distribute any Autodesk Authorized Product(s) or Authorized Services to any person or entity if VAR Reseller is aware that such person or entity may be involved in potential unauthorized use of the Materials or other infringement of Autodesk’s proprietary rightsF5's Intellectual Property Rights. Reseller will not remove any trade name, trademark or other attributing xxxx or designation which F5 may place on any Authorized Product or Authorized Service, and will fully and fairly attribute the origin of the Authorized Products and Authorized Services.

VAR ASC shall not disassemble, decompile, or reverse-engineer the Materials, including any Autodesk Product Authorized Product(s) source code, or otherwise attempt to discover any Autodesk trade secret or other proprietary information, or hack, impede, change or interfere with any Autodesk web site. VAR ASC acknowledges that Autodesk has an Anti-Piracy Program and VAR ASC agrees to review and follow the Anti-Piracy Program guidelines as published by Autodesk from time to time. VAR ASC shall notify Autodesk promptly in writing upon its discovery of any unauthorized use of the Autodesk Product(s) Authorized Products or infringement of Autodesk’s 's patent, copyright, trade secret, trademark, or other intellectual property rights. VAR ASC shall not distribute any Autodesk Authorized Product(s) to any person or entity if VAR ASC is aware that such person or entity may be involved in potential unauthorized use of the Materials or other infringement of Autodesk’s 's proprietary rights.

The Autodesk Product(s) Education Software Products, and other materials included in or incorporated therein and included on an Autodesk web site in the Discreet Education Software Products (collectively the “"Materials”") remain at all times the property of AutodeskDiscreet. VAR Reseller acknowledges and agrees that Autodesk Discreet holds the copyright to the Materials Discreet Educational Software Products and, except as expressly provided herein, VAR Reseller is not granted any other right or license to patents, copyrights, trade secrets, or trademarks with respect to the Materials. VAR Reseller shall take all reasonable measures to protect Autodesk’s Discreet's proprietary rights in the Materials and shall not copy, use or distribute the Materials, or any derivative thereof, in any manner or for any purpose, except as expressly authorized in this VAR Agreement. VAR Reseller shall not disassemble, decompile, or reverse-engineer any Discreet Software Product, including the Materials, including any Autodesk Product source code, or otherwise attempt to discover discovery any Autodesk Discreet trade secret or other proprietary information, or hack, impede, change or interfere with any Autodesk web site. VAR Reseller acknowledges that Autodesk Discreet has an Anti-Piracy Program and VAR Reseller agrees to review and follow the Anti-Piracy Program guidelines Guidelines as published by Autodesk Discreet from time to time. VAR Reseller shall notify Autodesk Discreet promptly in writing upon its discovery of any unauthorized use of the Autodesk Product(s) Discreet Educational Software Products or infringement of Autodesk’s Discreet's patent, copyright, copyright trade secret, trademark, or other intellectual property rights. VAR Reseller shall not distribute any Autodesk Product(s) Discreet Software Product to any person or entity if VAR Reseller is aware that such person or entity may be involved in potential unauthorized use of the Materials Discreet Educational Software Products or other infringement of Autodesk’s Discreet's proprietary rights.

VAR Reseller acknowledges that Autodesk has an Anti-Anti- Piracy Program and VAR Reseller agrees to review and follow the Anti-Piracy Program guidelines Guidelines as published by Autodesk from time to time. VAR Reseller shall notify Autodesk promptly in writing upon its discovery of any unauthorized use of the Autodesk Product(s) Software Products or infringement of Autodesk’s 's patent, copyright, trade secret, trademark, or other intellectual property rights. VAR Reseller shall not distribute any Autodesk Product(s) Software Product to any person or entity if VAR Reseller is aware that such person or entity may be involved in potential unauthorized use of the Materials Autodesk Software Products or other infringement of Autodesk’s 's proprietary rights.
