Title and Reporting. Executive’s title shall be Chief Financial Officer. Executive shall report to the Chief Executive Officer and Audit Committee.
Title and Reporting. During the Employment Period, the Executive will be employed as the Company’s President and Chief Executive Officer, and he will report solely and directly to the Board. All other employees of the Company (other than the Chairman of the Board, if the Chairman of the Board is an employee of the Company) will report to the Executive or his designees.

During the Term, the Executive shall serve as the Chief Executive Officer of the Company and shall have such authority, duties and responsibilities as is consistent with such position and as otherwise determined by the board of directors of the Company (the “Board”), including, without limitation, serving as a director, manager and/or officer of the Company and any direct or indirect subsidiary thereof (collectively, the “Company Group”). The Executive shall report to the Board.

During the term of your employment with the Company under this Agreement, you will serve as the Interim Chief Financial Officer and Treasurer of the Company and you will report directly to the Chief Executive Officer of the Company. During your term of employment with the Company, you will also serve as the Interim Chief Financial Officer and Treasurer of Xxxxx Intermediate Holding LLC and Xxxxx LLC, for which you will receive no additional compensation.
Title and Reporting. During the Term, the Company will continue to employ Executive as the Executive Chairman of the Board, reporting directly and exclusively to the Board or one or more committees of the Board. Executive shall, at all times during the Term, be the senior-most executive officer of the Company. During the Term, Executive shall, subject to his election by the Company’s stockholders, serve for no additional consideration as a member of the Board.
