TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited immediately if it becomes subject to any of the events listed in clause 13.4; and (e) give Voip Unlimited such information relating to the Goods as Voip Unlimited may require from time to time. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery.delivery to the Delivery Location.‌ 6.2 Title Legal and beneficial title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) Ornua receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become dueGoods, in which case title to the Goods shall pass at the time of payment of all such sums.; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4.‌ 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) hold the Goods as Xxxxx’s fiduciary agent and xxxxxx; (b) not pledge or in any way charge by way of security the Goods; (c) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedOrnua's property;property;‌ (bd) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (ce) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedOrnua's behalf from the date of delivery; (df) notify Voip Unlimited Ornua immediately if it becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c); andand‌ (eg) give Voip Unlimited Ornua such information relating to the Goods as Voip Unlimited Ornua may require from time to time.‌ 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before Ornua receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as Ornua’s agent; and‌ (b) title to the Goods shall pass from Ornua to the Customer immediately before the time at which resale by the Customer occurs. 6.4 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c), then, without limiting any other right or remedy Voip Unlimited Ornua may have:have:‌‌ (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Ornua may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably irreversibly incorporated into another product; andand‌ (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods Products shall pass to the Customer on completion of deliverydelivery to the Delivery Location. 6.2 Title Legal and beneficial title to the Goods Products shall not pass to the Customer until Voip Unlimited the earlier of:‌ (a) Ornua receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become dueProducts, in which case title to the Goods Products shall pass at the time of payment of all such sums; and (b) the Customer resells the Products, in which case title to the Products shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods Products has passed to the Customer, the Customer shall:shall:‌ (a) hold the Products as Ornua’s fiduciary agent and bailee; (b) not pledge or in any way charge by way of security the Products; (c) store the Goods Products separately from all other goods products held by the Customer so that they remain readily identifiable as Voip UnlimitedOrnua's property; (bd) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods;Products;‌ (ce) maintain the Goods Products in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedOrnua's behalf from the date of delivery; (df) notify Voip Unlimited Ornua immediately if it becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c); and (eg) give Voip Unlimited Ornua such information relating to the Goods Products as Voip Unlimited Ornua may require from time to time.‌‌ 6.4 Subject to clause 6.5, the Customer may resell or use the Products in the ordinary course of its business (but not otherwise) before Ornua receives payment for the Products. However, if the Customer resells the Products before that time: (a) it does so as principal and not as Ornua’s agent; and (b) title to the Products shall pass from Ornua to the Customer immediately before the time at which resale by the Customer occurs. 6.4 6.5 If before title to the Goods Products passes to the Customer the Customer becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c), then, without limiting any other right or remedy Voip Unlimited Ornua may have:have:‌ (a) the Customer's right to resell Goods Products or use them in the ordinary course of its business ceases immediately; andand‌ (b) Voip Unlimited Ornua may at any time: (i) require the Customer to deliver up all Goods Products in its possession which have not been resold, or irrevocably irreversibly incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods Products are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives the Supplier has received payment in full (in cash or cleared funds) for for: (a) the Goods and Goods; and (b) any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) hold the Goods on a fiduciary basis as the Supplier's bailee; (b) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (bc) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (cd) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (de) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.413.2(b) to clause 13.2(m); and (ef) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time, but the Customer may resell or use the Goods in the ordinary course of its business. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.2(b) to clause 13.2(m), or the Supplier reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, without limiting any other right or remedy Voip Unlimited may have: (a) provided the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; , and without limiting any other right or remedy the Supplier may have, the Supplier may at any time require the Customer to deliver up the Goods and (ii) , if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Customer Materials, the Work-in- Progress and the Deliverables shall remain with the Customer at all times and Citipost shall not be responsible for any loss, damage or theft of the Customer Materials, Work-in-Progress or the Deliverables whilst in transit to and from Citipost or its sub-contractors or whilst in Citipost’s possession and control. The risk in the Goods shall pass to the Customer on completion of deliveryhand over to the Customer’s carrier/courier. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives Citipost has received payment of the Charges and all other sums due to Citipost in full (in cash or cleared funds) for for: (a) the Goods and Goods; and (b) any other goods that Voip Unlimited Citipost has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sumsCustomer. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) hold the Goods on a fiduciary basis as Xxxxxxxx’s bailee; (b) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Xxxxxxxx’s property; (bc) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (cd) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's Citipost’s behalf from the date of delivery; (de) notify Voip Unlimited Citipost immediately if it becomes subject to any of the events listed in clauses 8.1 (b) to clause 13.48.1(i) of the Customer Service Agreement; and (ef) give Voip Unlimited Citipost such information relating to the Goods as Voip Unlimited Citipost may require from time to time, but the Customer may resell or use the Goods in the ordinary course of its business. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clauses 8.1 (b) to clause 13.48.1(i) of the Customer Service Agreement, or Citipost reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, without limiting any other right or remedy Voip Unlimited may have: (a) provided the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; , and without limiting any other right or remedy Citipost may have, Citipost may at any time require the Customer to deliver up the Goods and (ii) , if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 15.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 15.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass pass: (i) in the case of Standard Goods, at the time of payment of all such sums; and (ii) in the case of Custom Goods, at the time of delivery, provided that all such sums have also been paid; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 15.4. 6.3 15.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; ; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; ; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; ; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.422.2(b) to 22.2(d); and and (e) give Voip Unlimited the Supplier such information relating to as the Goods as Voip Unlimited Supplier may reasonably require from time to timetime relating to: (i) the Goods; and (ii) the ongoing financial position of the Customer. 6.4 If 15.4 Subject to clause 15.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier's agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 15.5 At any time before title to the Goods passes to the Customer Customer, the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may have: Supplier: (a) may by notice in writing, terminate the Customer's right under clause 15.4 to resell the Goods or use them in the ordinary course of its business ceases immediatelybusiness; and and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) product and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of deliveryDelivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited until: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.49.1(b) to clause 9.1(d); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs only if payment has been made in full 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.49.1(b) to clause 9.1(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of deliverydelivery in accordance with clause 4.2. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall, other than in relation to software: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.416.1(b) to clause 14.2(d); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.416.1(b) to clause 14.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 8.1 The risk (but not title) in respect to the Goods shall pass goods passes to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed immediately upon delivery to the Customer, the Customer shall: (a) store Customer’s agent or representative as the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited immediately if it becomes subject to any of the events listed in clause 13.4; and (e) give Voip Unlimited such information relating to the Goods as Voip Unlimited case may require from time to timebe. 6.4 If before 8.2 Despite Delivery, title to in the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may havegoods shall not pass from QC until: (a) the Customer has paid the Invoice in full; and (b) no other amounts whatsoever are due to be paid by the Customer to QC; or (c) the Customer sells the goods to a customer of the Customer in the ordinary course of the Customer's right to resell Goods or use them business. 8.3 Where the goods are sold by the Customer in accordance with Sub-clause 8.2(c), the Customer has resold the goods as a fiduciary agent and trustee for QC by way of bona fide sale at full market value and in the ordinary course of its business ceases immediately; andbusiness. 8.4 Until all the monies have been paid in full: (a) the Customer shall take custody of the goods as trustee and fiduciary agent for QC; (b) Voip Unlimited may at the Customer shall keep the goods separate from any time:other goods and properly marked, stored, protected and insured; (c) The Customer must hold all of the money it receives ("Proceeds"): (i) require from the Customer to deliver up all Goods in its possession sale of any property into which goods supplied have not been resold, or irrevocably incorporated into another productincorporated; and (ii) from the sale of goods including the goods supplied by the QC as fiduciary agent and trustee for QC, but the Customer need not hold on trust any money exceeding the amount of the debts at the time the money is received. The Customer acknowledges that the agreement entered into between QC and the Customer in connection with any goods supplied may constitute a security agreement for the purposes of section 20 of the Personal Property Securities Xxx 0000 (Cth) (“PPSA”) and that a purchase money security interest may exist in certain goods (and their proceeds) previously supplied by QC to the Customer (if any) and in certain future goods (and their proceeds) supplied by QC to the Customer. The Customer must execute documents and do such further acts as may be required by QC to register any purchase money security interest granted to QC under these Terms under the PPSA. 8.5 Until property in the goods passes from QC in accordance with Clause 8.2, the Customer shall upon request made by or on behalf of QC deliver up the goods to QC. If the Customer fails to do so promptlyso, QC may enter upon any premises owned, occupied or controlled by the Customer where the goods are situated (without liability for trespass or any resulting damage) and retake possession of the Customer goods and QC may keep or of any third party where the Goods are stored in order to recover themresell those repossessed goods.

TITLE AND RISK. 6.1 7.1 The risk in the Goods shall pass to the Customer on completion of deliveryDelivery. 6.2 7.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 7.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) Hold the goods on a fiduciary basis as the Supplier’s bailee; (b) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's the Supplier’s property; (bc) not modify the Goods or their packaging, or remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (cd) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's the Supplier’s behalf from the date of delivery; (de) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.4an Insolvency Event; and (ef) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 7.4 Subject to clause 7.6, the Customer may resell or use the Goods at full market value in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs; and (c) the Customer shall first dispose of the Goods that it has paid for any payments received by the Supplier from the Customer shall first be appropriated to Goods disposed of by the Customer. 7.5 The Supplier shall be entitled at any time to revoke the Customer’s power to use, sell and deal with the Goods under clause 7.4. 7.6 If before title to the Goods passes to the Customer the Customer becomes subject to an Insolvency Event or encumbers or in any way charges any of the events listed in clause 13.4Goods, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's ’s right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. 7.7 Upon termination of the Customer’s power to deal with the Goods, the Customer shall place the Goods at the disposal of the Supplier and the Supplier and its servants and agents are hereby irrevocably authorised without the need for consent of any third party but using only such force as may be necessary, to enter upon any premises of the Customer or any third party for the purpose of removing the Goods. 8.1 The Customer shall: (a) ensure that the terms of the Order and the Goods Specification are complete and accurate; (b) provide the Supplier with such information and materials as the Supplier may reasonably require in order to supply the Goods, and ensure that such information is complete and accurate in all material respects; (c) comply with all applicable laws, including health and safety laws in the use of the Goods; (d) comply with any additional obligations as set out in the Goods Specification. 8.2 If the Supplier’s performance of any of its obligations under the Contract is prevented or delayed by any act or omission by the Customer or failure by the Customer to perform any relevant obligation (Customer Default): (a) the Supplier shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from the Supplier’s failure or delay to perform any of its obligations as set out in this clause 8.2; and (b) the Customer shall reimburse the Supplier on written demand for any costs or losses sustained or incurred by the Supplier arising directly or indirectly from the Customer Default. 8.3 The Customer shall (without prejudice to the Supplier’s other rights and remedies) indemnify the Supplier in full against all loss, costs, damages, charges, expenses and other liabilities awarded against or incurred by the Supplier as a result of or in connection with any claim brought against the Supplier by a third party arising out any matter in respect of which the Supplier’s liability to the customer is excluded under clause 5.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of deliverydelivery (where this is organised in accordance with clause 4.4 above) or at the point the Goods leave the Supplier. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited : (a) the Supplier (or any third party finance company under any lease agreement as the case may be) receives payment in full (in cash or cleared fundsfunds (either as per the Order or in accordance with the terms of any such lease agreement as the case may be) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums.Goods 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (cb) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (dc) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d); and (ed) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 Title in and to Goods shall be vested in the Supplier until the time of delivery determined in accordance with Condition 4.2, at which time title shall pass to the Customer, subject to any lien asserted or exercised by the Supplier in accordance with clause 6.4. 6.2 If the Customer returns Goods in accordance with clause 5.5 title in and to such returned Goods shall automatically pass to the Supplier upon their receipt. 6.3 The risk in Goods shall be with the Goods Supplier while in the Supplier’s possession and shall pass to the Customer on completion of delivery. 6.2 Title to 6.4 Unless and until the Goods shall not pass to the Customer until Voip Unlimited Supplier receives payment in full (in cash or cleared funds) for the Goods Goods, the Supplier shall have a lien over them and any other goods that Voip Unlimited has supplied the right to sell them by public auction or otherwise at its discretion for all sums due or to become due from the Customer to the Customer in respect Supplier under or by virtue of which payment has become due, in which case title to the Contract. Such lien and liability shall remain notwithstanding that the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed have been delivered to the Customer. If on sale the net proceeds after deduction of all related costs, charges, expenses, commissions and VAT fail to realise the amount due the Supplier shall be entitled to recover the amount of the shortfall from the Customer. 6.5 Until the Customer has paid for the Goods, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goodsit; (cb) maintain the Goods it in satisfactory condition and keep them it insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (dc) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.413.1(b) to 13.1 (d); and (e) 6.6 give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 . If before title to the Customer has paid for the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1(b) to 13.1(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell use the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another productpossession; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored lie in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become dueGoods, in which case title to the Goods shall pass at the time of payment of all such sumspayment. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.413.1. (a) to clause 13.1.(f); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1(b) to clause13.1.(f), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited Cotopaxi receives payment in full (in cash or cleared funds) funds for the Goods and any other goods that Voip Unlimited Cotopaxi has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedCotopaxi's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedCotopaxi's behalf from the date of delivery; (d) notify Voip Unlimited Cotopaxi immediately if it becomes subject to any of the events listed in clause 13.413.1(a) to clause 13.1(c); and (e) give Voip Unlimited Cotopaxi such information relating to the Goods as Voip Unlimited Cotopaxi may require from time to time. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1(b) to clause 13.1(c), then, without limiting any other right or remedy Voip Unlimited Cotopaxi may have: (a) the Customer's right to resell use the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Cotopaxi may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another productpossession; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of deliverydelivery in accordance with clause 4 and the relevant Incoterm set out in the Order Acknowledgement. 6.2 Title Unless otherwise agreed in writing, title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: 6.2.1 Xxxxxx receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited Xxxxxx has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and 6.2.2 the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until Unless otherwise agreed in writing, until title to the Goods has passed to the Customer, the Customer shall: (a) 6.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Xxxxxx’x property; (b) 6.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 6.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's Xxxxxx’x behalf from the date of delivery; (d) 6.3.4 notify Voip Unlimited Xxxxxx immediately if it becomes subject to any of the events listed in clause 13.4; and15.1.3 to clause 15.1.4; (e) 6.3.5 give Voip Unlimited Xxxxxx such information relating to the Goods as Voip Unlimited Xxxxxx may reasonably require from time to timetime relating to: 6.3.5.1 the Goods; and 6.3.5.2 the ongoing financial position of the Customer. 6.4 If Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before Xxxxxx receives payment for the Goods. However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as Xxxxxx’x agent; and 6.4.2 title to the Goods shall pass from Xxxxxx to the Customer immediately before the time at which resale by the Customer occurs. 6.5 At any time before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4Customer, then, without limiting any other right or remedy Voip Unlimited may haveXxxxxx may: (a) 6.5.1 by notice in writing, terminate the Customer's ’s right under clause 6.4 to resell the Goods or use them in the ordinary course of its business ceases immediatelybusiness; and (b) Voip Unlimited may at any time: (i) 6.5.2 require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) product and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. 6.6 The risk in the Customer Materials shall not pass to Xxxxxx until such time as the Customer Materials have been incorporated into or amalgamated with other materials to create the Goods.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods Products shall pass to the Customer on completion of delivery.delivery to the Delivery Location.‌ 6.2 Title Legal and beneficial title to the Goods Products shall not pass to the Customer until Voip Unlimited the earlier of: (a) Ornua receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become dueProducts, in which case title to the Goods Products shall pass at the time of payment of all such sums.; and (b) the Customer resells the Products, in which case title to the Products shall pass to the Customer at the time specified in clause 6.4.‌ 6.3 Until title to the Goods Products has passed to the Customer, the Customer shall: (a) hold the Products as Ornua’s fiduciary agent and bailee; (b) not pledge or in any way charge by way of security the Products; (c) store the Goods Products separately from all other goods products held by the Customer so that they remain readily identifiable as Voip UnlimitedOrnua's property;property;‌ (bd) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the GoodsProducts; (ce) maintain the Goods Products in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedOrnua's behalf from the date of delivery; (df) notify Voip Unlimited Ornua immediately if it becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c); andand‌ (eg) give Voip Unlimited Ornua such information relating to the Goods Products as Voip Unlimited Ornua may require from time to time.‌ 6.4 Subject to clause 6.5, the Customer may resell or use the Products in the ordinary course of its business (but not otherwise) before Ornua receives payment for the Products. However, if the Customer resells the Products before that time: (a) it does so as principal and not as Ornua’s agent; and‌ (b) title to the Products shall pass from Ornua to the Customer immediately before the time at which resale by the Customer occurs. 6.4 6.5 If before title to the Goods Products passes to the Customer the Customer becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c), then, without limiting any other right or remedy Voip Unlimited Ornua may have:have:‌ (a) the Customer's right to resell Goods Products or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Ornua may at any time: (i) require the Customer to deliver up all Goods Products in its possession which have not been resold, or irrevocably irreversibly incorporated into another product; andand‌ (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods Products are stored in order to recover them.

TITLE AND RISK. 6.1 29.1 The risk in the Goods shall will pass to the Customer on completion of delivery. 6.2 29.2 Title to the Goods shall will not pass to the Customer until Voip Unlimited the earlier of: 29.2.1 JET receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become dueGoods, in which case title to the Goods shall will pass at the time of payment payment; 29.2.2 the Customer resells the Goods (which will include where the Goods have been produced for use by the Customer at a specific event and, as a result of all such sumstheir use at or in accordance with the event, they are no longer within the reasonable control of the Customer), in which case title to the Goods will pass to the Customer at the time specified in clause 29.4. 6.3 29.3 Until title to the Goods has passed to the Customer, the Customer shallwill: (a) 29.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedXXX's property; (b) 29.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 29.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedJET's behalf from the date of delivery; (d) 29.3.4 notify Voip Unlimited JET immediately if it becomes subject to any of the events listed in clause 13.413.1.1 to clause 13.1.4; and (e) 29.3.5 give Voip Unlimited JET such information relating to the Goods as Voip Unlimited JET may require from time to time. 6.4 29.4 Subject to clause 29.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before JET receives payment for the Goods. However, if the Customer resells the Goods before that time: 29.4.1 it does so as principal and not as JET's agent; and 29.4.2 title to the Goods will pass from JET to the Customer immediately before the time event specified in clause 29.2.2 occurs. 29.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1.2 to clause 13.1.4, then, without limiting any other right or remedy Voip Unlimited JET may have: (a) 29.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 29.5.2 JET may at any time: (ia) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (iib) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

The risk in the Free Issue Materials shall remain the Customers at all times until the Free Issue Materials are converted into Deliverables at which point the risk shall pass to Pilamec. 6.2 7.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) Pilamec receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to ; and (b) the Customer in respect of which payment has become dueresells the Goods, in which case title to the Goods shall pass to the Customer at the time of payment of all such sumsspecified in clause 7.4. 6.3 7.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedPilamec's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the GoodsGoods packaging; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedPilamec's behalf from the date of delivery; (d) notify Voip Unlimited Pilamec immediately if it becomes subject to any of the events listed in clause 13.412.1(b) to clause 12.1(d); and (e) give Voip Unlimited Pilamec such information relating to the Goods as Voip Unlimited Pilamec may require from time to time. 6.4 7.4 Subject to clause 7.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before Pilamec receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as Pilamec’s agent; and (b) title to the Goods shall pass from Pilamec to the Customer immediately before the time at which resale by the Customer occurs. 7.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4(b) to clause 12.1(d), then, without limiting any other right or remedy Voip Unlimited Pilamec may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Pilamec may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in of loss of the Goods Products shall pass to the Customer on completion dispatch from Company’s (or its agent’s) premises. As collateral security for the payment of deliverythe purchase price of the Products, Customer hereby grants to Company a lien on and security interest in and to all of the right, title and interest of Customer in, to and under the Products, wherever located, and whether now existing or hereafter arising or acquired from time to time, and in all accessions thereto and replacements or modifications thereof, as well as all proceeds (including insurance proceeds) of the foregoing. The security interest granted under this provision constitutes a purchase money security interest under the Delaware Code. 6.2 Title to the Goods Products shall not pass to the Customer until Voip Unlimited the earlier of: (a) Company receives payment in full (in cash or cleared funds) for the Goods Products and any other goods that Voip Unlimited Company has supplied to the Customer in respect of which payment has become due, in which case title to the Goods Products shall pass at the time of payment of all such sums; and (b) the Customer resells the Products, in which case title to the Products shall pass to the Customer at the time specified in Section 6.4. 6.3 Until title to the Goods Products has passed to the Customer, the Customer shall: (a) store the Goods Products separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Company’s property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods Products in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of deliverydelivery (including those Products delivered under the EXW (Ex Works) or FCA (Free Carrier) rules (as applicable)); (dc) notify Voip Unlimited Company immediately if it becomes subject to any of the events listed in clause 13.4Sections 13.2(c) to 13.2(e) (inclusive); and (ed) give Voip Unlimited Company such information relating to the Goods as Voip Unlimited Company may reasonably require from time to timetime relating to the Products. 6.4 If before title Subject to the Goods passes to Section 6.5, the Customer may resell or use the Products in the ordinary course of its business (but not otherwise) before Company receives payment for the Products. However, if the Customer becomes subject to any of resells the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may haveProducts before that time: (a) it does so as principal and not as Company’s agent; (b) title to the Products shall pass from Company to the Customer immediately before the time at which resale by the Customer occurs; and (c) the entire proceeds of sale or any insurance proceeds payable in respect of the Products shall be held in trust for Company. 6.5 At any time before title to the Products passes to the Customer's , Company may: (a) by notice in writing, terminate the Customer’s right under Section 6.4 to resell Goods the Products or use them in the ordinary course of its business ceases immediatelybusiness; andand/or (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods Products in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) , and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods Products are stored in order to recover them. In the event that the Products are in the possession of a third party, the Customer shall use its best efforts to procure the consent and cooperation of such third party to facilitate repossession of the Products by Company.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.413.1(b) to clause 13.2(d) occur; and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and General Terms and conditions for sale (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, 13.1(b) to clause 13.2(d) below then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs only if payment has been made in full 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.49.1(b) to clause 9.1(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

(b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods;. (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's Pen Telecom’s behalf from the date of delivery;. (d) notify Voip Unlimited Pen Telecom immediately if it becomes subject to any of the events listed in clause 13.4; and (e) give Voip Unlimited Pen Telecom such information relating to the Goods as Voip Unlimited Pen Telecom may require from time to time. 6.4 6.4. If before title to the Goods passes Goodspasses to the Customer the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited Pen Telecom may have: (a) the Customer's ’s right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Pen Telecom may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's property; (b) not remove, deface deface, or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited immediately if it becomes subject to any of the events listed in clause 13.4; and (e) give Voip Unlimited such information relating to the Goods as Voip Unlimited may require from time to time. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 7.1 The risk in and responsibility to insure the Goods shall pass to the Customer Customer: 7.1.1 Where delivery is to take place at a US/Canadian location; on completion of deliverydelivery as per agreed upon INCOTERMS; 7.1.2 Where delivery is to take place at a non-US/Canadian location; when the Goods are dispatched from either Xxxx’s premises or the premises of an Affiliate (as the case may be). 6.2 7.2 Title to the Goods shall not pass to the Customer until Voip Unlimited Zund receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited Zund has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 7.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 7.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedXxxx's property; (b) 7.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 7.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedZund's behalf from the date of delivery; (d) 7.3.4 notify Voip Unlimited Zund immediately if it becomes subject to any of the events listed in clause 13.413.3.2 to clause 13.3.4; and (e) 7.3.5 give Voip Unlimited Zund such information relating to the Goods as Voip Unlimited Zund may require from time to timerequire. 6.4 7.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before Zund receives payment for the Goods. However, if the Customer resells the Goods before that time: 7.4.1 it does so as principal and not as Xxxx’s agent; and 7.4.2 title to the Goods shall pass from Zund to the Customer immediately before the time at which resale by the Customer occurs. 7.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.3.2 to clause 13.3.4, then, without limiting any other right or remedy Voip Unlimited Zund may have:have:‌ (a) 7.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 7.5.2 Zund may at any time: (ia) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (iib) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored or located in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery/Collection. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: 6.2.1 XXXXX receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited XXXXX has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and 6.2.2 the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 6.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's XXXXX' property; (b) 6.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 6.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's XXXXX' behalf from the date of delivery; (d) 6.3.4 notify Voip Unlimited XXXXX immediately if it becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4; and (e) 6.3.5 give Voip Unlimited XXXXX such information relating to the Goods as Voip Unlimited may XXXXX xxx require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before XXXXX receives payment for the Goods. However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as XXXXX’ agent; and 6.4.2 title to the Goods shall pass from XXXXX to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4, then, without limiting any other right or remedy Voip Unlimited XXXXX may have: (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 XXXXX may at any time: (i) 6.5.2.1 require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 6.5.2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 12.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 12.2 Title to the Goods shall not pass to the Customer until Voip Unlimited Synextra receives payment in full (in cash or cleared funds) for the Goods and any other goods Services that Voip Unlimited Synextra has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 12.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 12.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Synextra’s property; (b) 12.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 12.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedSynextra's behalf from the date of delivery; (d) 12.3.4 notify Voip Unlimited Synextra immediately if it becomes subject to any of the events listed in clause 13.418.3.4 to clause 18.3.12; and (e) 12.3.5 give Voip Unlimited Synextra such information relating to the Goods as Voip Unlimited Synextra may require from time to time. 6.4 12.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.418.3.4 to clause 18.3.12, then, without limiting any other right or remedy Voip Unlimited Synextra may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited . Synextra may at any time: (i) 12.4.1 require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another productpossession; and (ii) 12.4.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 7.1 The risk in the Goods shall pass to the Customer on completion of deliveryDelivery which shall occur in accordance with clause 5 and for the avoidance of doubt shall occur before the unloading is carried out by the Customer. 6.2 7.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become dueCustomer, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 7.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 7.3.1 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price from the date of Delivery; 7.3.2 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) 7.3.3 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain 7.3.4 notify the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited Supplier immediately if it becomes subject to any of the events listed in clause 13.410 (a); and (e) 7.3.5 give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 7.4 Subject to clauses 7. (e) and (g), the Customer may resell the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. 7.5 However, if the Customer resells the Goods before that time: 7.5.1 it does so as principal and not as the Supplier’s agent; 7.5.2 title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs; 7.5.3 the Customer shall hold any sums it receives as a result of such a sale on trust for the Supplier and shall pay those sums to the Supplier immediately and on demand; and 7.5.4 the Customer shall indemnify the Supplier for any Losses (howsoever incurred) it suffers as a result of the Customer’s use or resale of the Goods. 7.6 Subject to clause 7. (g), the Customer may use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer uses the Goods before that time it shall do so strictly in accordance with the Supplier’s guidance and instructions from time to time and in accordance with industry best practice in respect of the Goods. In addition, the Customer shall indemnify the Supplier for any Losses (howsoever incurred) it suffers as a result of the Customer’s use of the Goods before title has passed to the Customer. 7.7 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.410 (a), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) 7.7.1 the Customer's right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 7.7.2 the Supplier may at any time: (ia) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (iib) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives the earlier of: (a) the Supplier receiving payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to Goods; and (b) the Customer in respect of which payment has become due, in which case title to reselling the Goods shall pass at in the time ordinary and proper course of payment of all such sumsits business. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's the Supplierʹs property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's the Supplierʹs behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.4Insolvency Event; and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary and proper course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4Insolvency Event, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's Customerʹs right to resell the Goods or use them in the ordinary and proper course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become dueGoods, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's the Supplier’s property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.49.1; and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.49.1, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's ’s right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (ia) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (iib) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 10.1 The risk in the Goods shall pass to the Customer you on completion of deliverydelivery under clause 9.6 or, if clause 9.5 applies, shall pass in accordance with Ex Works (EXW) (as per the Incoterms 2010 or for the time to time in force) (unless expressly otherwise agreed in writing between the parties). 6.2 10.2 Title to the Goods shall not pass to you until the Customer until Voip Unlimited receives earlier of: 10.2.1 us receiving payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sumspayment; or 10.2.2 you resell the Goods, in which case title to the Goods shall pass to you at the time specified in clause 10.4. 6.3 10.3 Until title to the Goods has passed to the Customeryou, the Customer you shall: (a) 10.3.1 store the Goods separately from all other goods held by the Customer you so that they remain readily identifiable as Voip Unlimited's our property; (b) 10.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 10.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's our behalf from the date of delivery; (d) 10.3.4 notify Voip Unlimited us immediately if it becomes you become subject to any of the events listed in clause 13.418.1.1 to clause 18.1.4 (inclusive); and (e) 10.3.5 give Voip Unlimited us such information relating to the Goods as Voip Unlimited we may require from time to time. 6.4 10.4 Subject to clause 10.5, you may resell or use the Goods in the ordinary course of your business (but not otherwise) before we receive payment for the Goods. However, if you resell the Goods before that time: 10.4.1 you do so as principal and not as our agent; and 10.4.2 title to the Goods shall pass from us to you immediately before the time at which resale by you occurs. 10.5 If before title to the Goods passes to the Customer the Customer becomes you, you become subject to any of the events listed in clause 13.418.1.1 to clause 18.1.4 (inclusive), then, without limiting any other right or remedy Voip Unlimited we may have: (a) the Customer's 10.5.1 your right to resell Goods or use them in the ordinary course of its your business ceases immediately; and (b) Voip Unlimited 10.5.2 we may at any time: (i) 10.5.2.1 require the Customer you to deliver up all Goods in its your possession which have not been resold, or irrevocably incorporated into another product; and (ii) 10.5.2.2 if the Customer fails you fail to do so promptly, enter any premises of the Customer yours or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover themthem and the Customer shall be responsible for all associated costs.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited PRSL receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sumsGoods. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 6.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedPRSL's property; (b) 6.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 6.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedPRSL's behalf from the date of delivery; (d) 6.3.4 notify Voip Unlimited PRSL immediately if it becomes subject to any of the events listed in clause 13.4; and13.1.2to clause 13.1.4;and (e) 6.3.5 give Voip Unlimited PRSL such information relating to the Goods as Voip Unlimited PRSL may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before PRSL receives payment for the Goods. However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as PRSL’s agent; and 6.4.2 title to the Goods shall pass from PRSL to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1.2 to clause 13.1.4, then, without limiting any other right or remedy Voip Unlimited PRSL may have: (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 PRSL may at any time: (i) 6.5.2.1 require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 6.5.2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 7.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 7.2 Title to the Goods shall not pass to you until the Customer until Voip Unlimited receives earlier of: 7.2.1 we receive payment in full (in cash or cleared funds) for the Goods and any other goods Goods that Voip Unlimited has we have supplied to the Customer you in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and 7.2.2 you resell the Goods, in which case title to the Goods shall pass to you at the time specified in clause 7.4. 6.3 7.3 Until title to the Goods has passed to the Customeryou, the Customer you shall: (a) 7.3.1 store the Goods separately from all other goods held by the Customer you so that they remain readily identifiable as Voip Unlimited's our property; (b) 7.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 7.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's our behalf from the date of delivery; (d) 7.3.4 notify Voip Unlimited us immediately if it becomes you become subject to any of the events listed in clause 13.415.1.2 to clause 15.1.4; and (e) 7.3.5 give Voip Unlimited us such information relating to the Goods as Voip Unlimited we may reasonably require from time to time. 6.4 7.4 Subject to clause 7.5, you may resell or use the Goods in the ordinary course of your business (but not otherwise) before we receive payment for the Goods. However, if you resell the Goods before that time: 7.4.1 you do so as principal and not as our agent; and 7.4.2 title to the Goods shall pass from us to you immediately before the time at which you resell the Goods. 7.5 If before title to the Goods passes to the Customer the Customer becomes you, you become subject to any of the events listed in clause 13.415.1.2 to clause 15.1.4, then, without limiting any other right or remedy Voip Unlimited we may have: (a) the Customer's 7.5.1 your right to resell Goods or use them in the ordinary course of its your business ceases immediately; and (b) Voip Unlimited 7.5.2 we may at any time: (i) 7.5.2.1 require the Customer you to deliver up all Goods in its your possession which have not been resold, or irrevocably incorporated into another product; and (ii) 7.5.2.2 if the Customer fails you fail to do so promptly, enter any of your premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited until: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time of payment of all such sumsspecified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.49.1(b) to clause 9.1(d); and (e) give Voip Unlimited the Supplier such information relating to as the Goods as Voip Unlimited Supplier may reasonably require from time to timetime relating to: (i) the Goods; and (ii) the ongoing financial position of the Customer. 6.4 If Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 At any time before title to the Goods passes to the Customer Customer, the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may haveSupplier may: (a) by notice in writing, terminate the Customer's right under clause 6.4 to resell the Goods or use them in the ordinary course of its business ceases immediatelybusiness; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) product and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives the earlier of: a) the Supplier receiving payment in full (in cash or cleared funds) for the Goods and for any other goods or services that Voip Unlimited the Supplier has supplied to the Customer; b) The Customer in respect of which payment has become due, in which case title to reselling the Goods shall pass at the time of payment of all such sums.Goods 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) hold the Goods on a fiduciary basis as the bailee of the Supplier; (b) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's propertythe property of the Supplier; (bc) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (cd) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (de) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.48.2; and (ef) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time, but the Customer may resell or use the Goods in the ordinary course of its business 6.4 Subject to clause 6.5 the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: a) it does so as principal and not as the Supplier’s agent; and b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.4 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.48.2, thenor the Supplier reasonably believes that any such event is about to happen and notifies the Customer accordingly, then without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's ’s right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all the Goods in its possession possession, which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 . Until title to the Goods has passed to the Customer, the Customer shall: (a) 25.2.1 hold the Goods on a fiduciary basis as FourNet's bailee; 25.2.2 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedFourNet's property; (b) 25.2.3 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 25.2.4 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) 25.2.5 notify Voip Unlimited FourNet immediately if it becomes subject to any of the events listed in clause 13.413.1 of the agreement above; and (e) 25.2.6 give Voip Unlimited FourNet such information relating to the Goods as Voip Unlimited FourNet may require from time to time. 6.4 . Title to the Goods shall not pass to the Customer until FourNet has received payment in full (in cash or cleared funds) for the Goods. If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1 , or FourNet reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, without limiting any other right or remedy Voip Unlimited may have: (a) provided that the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; , and without limiting any other right or remedy FourNet may have, FourNet may at any time require the Customer to deliver up the Goods and (ii) , if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. Where the Customer procures under this Agreement a Cloud or Rental Service, neither title or risk shall pass to the Customer. On termination of this Agreement for any reason FourNet’s rights in this paragraph 8 shall remain in full effect.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of deliverydelivery to the Delivery Location. 6.2 Title Legal and beneficial title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) Ornua receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become dueGoods, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) hold the Goods as Ornua’s fiduciary agent and bailee; (b) not pledge or in any way charge by way of security the Goods; (c) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedOrnua's property; (bd) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (ce) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedOrnua's behalf from the date of delivery; (df) notify Voip Unlimited Ornua immediately if it becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c); and (eg) give Voip Unlimited Ornua such information relating to the Goods as Voip Unlimited Ornua may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before Ornua receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as Ornua’s agent; and (b) title to the Goods shall pass from Ornua to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c), then, without limiting any other right or remedy Voip Unlimited Ornua may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Ornua may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably irreversibly incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 7.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 7.2 Title to the Non-Mechanical Goods shall pass to the Customer on completion of delivery. 7.3 Title to the Mechanical Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) the Supplier receives payment in full (in cash or cleared funds) for the Mechanical Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Mechanical Goods, in which case title to the Mechanical Goods shall pass to the Customer at the time specified in clause 7.5. 6.3 7.4 Until title to the Mechanical Goods has passed to the Customer, the Customer shall: (a) store the Mechanical Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Mechanical Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d); and (e) give Voip Unlimited the Supplier such information relating to the Mechanical Goods as Voip Unlimited the Supplier may require from time to time. 6.4 7.5 Subject to clause 7.6, the Customer may resell or use the Mechanical Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Mechanical Goods. However, if the Customer resells the Mechanical Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 7.6 If before title to the Mechanical Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell the Mechanical Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Mechanical Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 4.1. The risk in the Goods shall pass to the Customer on completion of deliverydelivery to the Delivery Location. Any dates quoted for delivery of the Goods are approximate only and the time of delivery is not of the essence. 6.2 4.2. Title to the Goods shall not pass to the Customer until Voip Unlimited receives the Supplier has received payment in full (in cash or cleared funds) for for: a) the Goods and Goods; and b) any other goods Goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 4.3. Until title to the Goods has passed to the Customer, the Customer shall: (a) store hold the Goods separately from all other goods held by on a fiduciary basis as the Customer so that they remain readily identifiable as Voip Unlimited's propertySupplier’s bailee; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's the Supplier’s behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.411.1(c) to clause 11.1(m); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time, but, subject to clause 4.3(f), the Customer may use the Goods in the ordinary course of its business. 6.4 f) if it resells the Goods, it shall procure that it is a condition of such resale that the rights of the Supplier are expressly reserved to enter the premises of the Customer or Customer’s customer for the purpose of recovering the Goods in accordance with clause 4.4. 4.4. If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.411.1(c) to clause 11.1(m), or the Supplier reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) , the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Supplier may at any time: (i) time require the Customer to deliver up all the Goods in its possession which have not been resoldand, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored situated in order to recover them. 4.5. The Supplier’s rights under clause 4.3 and 4.4 are in addition to and do not limit any of the Supplier’s other rights or remedies.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: 6.2.1 CLAAS receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited CLAAS has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and 6.2.2 the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 6.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's CLAAS' property; (b) 6.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 6.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's CLAAS' behalf from the date of delivery; (d) 6.3.4 notify Voip Unlimited CLAAS immediately if it becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4; and (e) 6.3.5 give Voip Unlimited CLAAS such information relating to the Goods as Voip Unlimited CLAAS may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before CLAAS receives payment for the Goods. However, if the Customer resells the Goods before that time:‌ 6.4.1 it does so as principal and not as CLAAS’ agent; and 6.4.2 title to the Goods shall pass from CLAAS to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4, then, without limiting any other right or remedy Voip Unlimited CLAAS may have:have:‌ (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 CLAAS may at any time: (i) 6.5.2.1 require the Customer to deliver up return all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 6.5.2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: 6.2.1 the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and 6.2.2 the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 6.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) 6.3.2 not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) 6.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) 6.3.4 notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.413.1.1to clause 13.1.3; and (e) 6.3.5 give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as the Supplier’s agent; and 6.4.2 title to the Goods shall pass from the Supplier to the Customer immediately. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1.1 to clause 13.1.3, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 the Supplier may at any time: (i) 6.5.2.1 require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 6.5.2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 4.1 The risk in the Goods Products shall pass to the Customer on completion of delivery. 6.2 4.2 Title to the Goods Products shall not pass to the Customer until Voip Unlimited receives the earlier of: 4.2.1 Valto has received cleared and full payment in full (in cash or cleared funds) of the Fees for the Goods Products and any other goods Products and Services (if applicable) that Voip Unlimited Valto has supplied to the Customer in respect of which payment has become due, in which case title to the Goods Products shall pass at the time of payment of all such sums; and 4.2.2 the Customer resells the Products, in which case title to the Products shall pass to the Customer at the time specified in clause 4.4. 6.3 4.3 Until title to the Goods Products has passed to the Customer, the Customer shall: (a) 4.3.1 store the Goods Products separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedValto's property; (b) 4.3.1 not remove, deface or obscure any identifying xxxx or packaging on or relating to the GoodsProducts; (c) 4.3.2 maintain the Goods Products in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) 4.3.3 notify Voip Unlimited Valto immediately if it becomes subject to any of the events listed in clause 13.414.1.2 and clause 14.1.3; and (e) 4.3.4 give Voip Unlimited Valto such information relating to the Goods as Voip Unlimited Valto may reasonably require from time to timetime relating to: 4.3.4.1 the Products; and 4.3.4.2 the ongoing financial position of the Customer. 6.4 If 4.4 Subject to clause 4.5, the Customer may resell or use the Products in the ordinary course of its business (but not otherwise) before Valto receives payment for the Products. However, if the Customer resells the Products before that time: 4.4.1 it does so as principal and not as Valto’s agent; and 4.4.2 title to the Products shall pass from Valto to the Customer immediately before the time at which resale by the Customer occurs. 4.5 At any time before title to the Goods Products passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4Customer, then, without limiting any other right or remedy Voip Unlimited may haveValto may: (a) 4.5.1 by notice in writing, terminate the Customer's right under clause 4.4 to resell Goods the Products or use them in the ordinary course of its business ceases immediatelybusiness; and (b) Voip Unlimited may at any time: (i) 4.5.2 require the Customer to deliver up all Goods Products in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) product and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods Products are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited Pen Telecom receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited Pen Telecom has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) a. store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Pen Telecom’s property;. (b) b. not remove, deface deface, or obscure any identifying xxxx mark or packaging on or relating to the Goods;. (c) c. maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's Pen Telecom’s behalf from the date of delivery;. (d) d. notify Voip Unlimited Pen Telecom immediately if it becomes subject to any of the events listed in clause 13.4; and (e) e. give Voip Unlimited Pen Telecom such information relating to the Goods as Voip Unlimited Pen Telecom may require from time to time. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited Pen Telecom may have: (a) a. the Customer's ’s right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited b. Pen Telecom may at any time: (i) i. require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) . if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.413.2(b) to clause 13.2(d); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs; and (c) it shall provide the Supplier with sufficient details for the buyer of the Goods to allow the Supplier to identify and make contact with that person. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1(b) to clause 13.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 9.1. The risk in the Goods shall pass to the Customer on completion of deliverydelivery as set out in clause 9.4. 6.2 Title 9.2. Both legal and beneficial ownership (“Title”) to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: 9.2.1. the Supplier receives payment in full of the whole price (principal amounts and incidentals) (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become dueCustomer, in which case title Title to the Goods shall pass at the time of payment of all such sums; and 9.2.2. the Customer resells the Goods, in which case Title to the Goods shall pass to the Customer at the time specified in clause 9.4. 6.3 9.3. Until title to the Goods has passed to the Customer, the Customer shall: (a) 9.3.1. store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's the Supplier’s property; (b) 9.3.2. not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 9.3.3. maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) 9.3.4. notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.4; and11.1; (e) 9.3.5. give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to timetime and 9.3.6. hold the Goods on a fiduciary basis as the Suppliers bailee. 6.4 9.4. Subject to clause 9.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: 9.4.1. it does so as principal and not as the Supplier’s agent; and 9.4.2. title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 9.5. If before title to the Goods passes to the Customer Customer, the Customer becomes subject to any of the events listed in clause 13.411.1, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) 9.5.1. the Customer's ’s right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 9.5.2. the Supplier may at any time: (i) 9.5.2.1. require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) 9.5.2.2. if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

(b) the Customer in respect of which payment has become dueresells the Goods, in which case title to the Goods shall pass to the Customer at the time of payment of all such sums.specified 6.3 (c) Until title to the Goods has passed to the Customer, the Customer shall: (ad) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (be) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (cf) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (dg) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.4; and13(b)to clause 13(d);and (eh) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 . If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413(b) to clause 13(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (ai) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (bj) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

Title to the Goods shall not pass to the Customer until Voip Unlimited Motion Impossible receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited Motion Impossible has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 . Until title to the Goods has passed to the Customer, the Customer shall: (a) : store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Motion Impossible’s property; (b) ; not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) ; maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's Motion Impossible’s behalf from the date of delivery; (d) ; notify Voip Unlimited Motion Impossible immediately if it becomes subject to any of the events listed in clause 13.4clauses 12.2(b) and 12.2(c); and (e) and give Voip Unlimited Motion Impossible such information relating to the Goods as Voip Unlimited Motion Impossible may require from time to time. 6.4 . Subject to clause 6.5, the Customer may use the Goods in the ordinary course of its business (but not otherwise) before Motion Impossible receives payment for the Goods. If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4clauses 12.2(b) and 12.2(c), then, without limiting any other right or remedy Voip Unlimited Motion Impossible may have: (a) : the Customer's right to resell use the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited and Motion Impossible may at any time: (i) : require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another productpossession; and (ii) and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. The price for the Goods: shall be the price confirmed in the acceptance of the Order or, if no price is quoted, the price set out on the website as at the date of the Order; shall be paid in full before the Goods are dispatched to the Customer; and shall be exclusive of all costs and charges of packaging, insurance and transport, which shall also be paid by the Customer before dispatch. Unless otherwise agreed in writing, the Customer must pay the Deposit on acceptance of the Order. Motion Impossible will invoice the Customer for the balance prior to the Goods being dispatched. Goods will not be dispatched until payment in full has been received. All amounts due under the Contract shall be paid by the Customer to Motion Impossible in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law). Motion Impossible shall invoice the Customer for the charges at the relevant time, together with expenses and the costs of materials (and VAT, where appropriate). The Customer must ensure that any bank charges associated with an electronic payment are paid by the Customer and are not deducted from the invoice amount. The Customer shall pay each invoice submitted to it by Motion Impossible in full, and in cleared funds, within 14 days of receipt. Without prejudice to any other right or remedy that Motion Impossible may have, if the Customer fails to pay on the due date or any payment is subsequently dishonoured or cancelled Motion Impossible may charge the Customer for all bank charges and ancillary expenses incurred by them together with interest on such sum from the due date for payment at the annual rate of 4% above the base lending rate from time to time of Barclays Bank plc, accruing on a daily basis and being compounded quarterly until payment is made, whether before or after any judgment but at 4% a year for any period when that base rate is below 0%. Time for payment shall be of the essence of the Contract. On placing an Order for Goods (unless agreed otherwise in writing), the Customer must pay a non-refundable deposit. The deposit will be deducted from the overall cost of the Goods prior to dispatch. If the Customer terminates the Contract under clause 12, (unless otherwise agreed in writing) Motion Impossible will retain the full deposit towards the costs incurred by them prior to the date of termination. In the event that these costs exceed the deposit paid, Motion Impossible reserves the right to charge the Customer for the difference. All Intellectual Property Rights in or arising out of or in connection with Goods shall be owned by Motion Impossible.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of deliveryin accordance with clause 4.2. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited Tilemaster receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited Tilemaster has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Xxxxxxxxxx’s property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited Tilemaster immediately if it becomes subject to any of the events listed in clause 13.4; and8.2; (e) give Voip Unlimited Tilemaster such information relating to the Goods as Voip Unlimited Tilemaster may require from time to time; and (f) not grant any pledge or in any way charge by way of security for any indebtedness any of the Goods which remain the property of Tilemaster. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before Tilemaster receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as Xxxxxxxxxx’s agent; and (b) title to the Goods shall pass from Tilemaster to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer breaches any of its obligations under clause 6.3 or clause 8.1, or becomes subject to any of the events listed in clause 13.48.2, then, without limiting any other right or remedy Voip Unlimited Tilemaster may have: (a) the Customer's right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Tilemaster may at any time: (i) i. require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) . if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk 7.1 Risk in the Goods Products shall pass to the Customer on completion of deliveryDelivery. 6.2 7.2 Title to the Goods Products shall not pass to the Customer until Voip Unlimited the earlier of: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods Products and any all other goods sums that Voip Unlimited has supplied are or that become due to the Supplier from the Customer in respect for sales of which payment has become dueProducts or on any account, in which case title to the Goods these Products shall pass at the time of payment of all such sums; and (b) the Customer resells those Products, in which case title to those Products shall pass to the Customer at the time specified in clause 7.4. 6.3 7.3 Until title to the Goods Products has passed to the Customer, the Customer shall: (a) store the Goods those Products separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods;those Products; and (c) maintain the Goods those Products in satisfactory condition and keep them insured against all risks on the Supplier's behalf for their full price against all risks with an insurer that is reasonably acceptable to the Supplier. The Customer shall obtain an endorsement of the Supplier's interest in the Products on Voip Unlimited's behalf from its insurance policy, subject to the date insurer being willing to make the endorsement. On request the Customer shall allow the Supplier to inspect those Products and the insurance policy. 7.4 Subject to clause 7.5, the Customer may resell or use Products in the ordinary course of delivery;its business (but not otherwise) before the Supplier receives payment for the Products. However, if the Customer resells the Products before that time: (da) notify Voip Unlimited immediately if it becomes subject to any of does so as principal and not as the events listed in clause 13.4Supplier's agent; and (eb) give Voip Unlimited such information relating title to those Products shall pass from the Supplier to the Goods as Voip Unlimited may require from Customer immediately before the time to timeat which resale by the Customer occurs. 6.4 7.5 If before title to the Goods Products passes to the Customer Customer, the Customer becomes subject to any of the events listed in clause 13.416.2(d) to clause 16.2(m) inclusive, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Supplier may at any time: (i) require the Customer to deliver up all Goods Products in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods relevant Products are stored in order to recover them. 10.2 The Supplier shall ensure that any sub-contractors also maintain adequate insurance having regard to their obligations under this agreement. 10.3 The Supplier's liabilities under this agreement shall not be deemed to be released or limited by the Supplier taking out the insurance policies referred to in clause10.1.

TITLE AND RISK. 6.1 The risk (a) Risk in the Goods shall pass to the Customer on completion of deliveryunloading the Goods at the agreed delivery location. 6.2 (b) Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (i) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and (ii) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in Clause 5.9(d). 6.3 (c) Until title to the Goods has passed to the Customer, the Customer shall: (ai) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (bii) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (ciii) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (div) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.4Clause 21.2(d) of Agreement; and (ev) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 (d) Subject to Clause 5.9(e), the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (i) it does so as principal and not as the Supplier’s agent; and (ii) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. (e) If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4Clause 21.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (ai) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (bii) Voip Unlimited the Supplier may at any time: (ia) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (iib) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. (f) The Supplier may recover Goods in which title has not passed to the Customer. The Customer irrevocably licenses the Supplier, its officers, employees and agents, to enter any premises of the Customer (including with vehicles), in order to satisfy itself that the Customer is complying with the obligations in Clause 5.9(c) and to recover any Goods in which property has not passed to the Customer.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: 6.2.1 CLAAS receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited CLAAS has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and 6.2.2 the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 6.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's CLAAS' property; (b) 6.3.2 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) 6.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's CLAAS' behalf from the date of delivery; (d) 6.3.4 notify Voip Unlimited CLAAS immediately if it becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4; and (e) 6.3.5 give Voip Unlimited CLAAS such information relating to the Goods as Voip Unlimited CLAAS may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before CLAAS receives payment for the Goods. However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as CLAAS’ agent; and 6.4.2 title to the Goods shall pass from CLAAS to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4, then, without limiting any other right or remedy Voip Unlimited CLAAS may have: (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 CLAAS may at any time: (i) 6.5.2.1 require the Customer to deliver up return all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 6.5.2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as the Supplier’s agent; and 6.4.2 Title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1.2 to clause 13.1.4, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 the Supplier may at any time: (i) 6.5.2.1 require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if 6.5.2.2 If the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Pen Telecom’s property;. (b) not remove, deface deface, or obscure any identifying xxxx or packaging on or relating to the Goods;. (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's Pen Telecom’s behalf from the date of delivery;. (d) notify Voip Unlimited Pen Telecom immediately if it becomes subject to any of the events listed in clause 13.4; and (e) give Voip Unlimited Pen Telecom such information relating to the Goods as Voip Unlimited Pen Telecom may require from time to time. 6.4 6.4. If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited Pen Telecom may have: (a) the Customer's ’s right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Pen Telecom may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 (a) Title to the Goods shall not pass to the Customer until Voip Unlimited the expiration of this Contract and the Airtime Agreement and the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sumsCustomer;. 6.3 6.2 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.414.2(b)0 to clause 14.2(m)0; and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 6.3 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(m), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as CLAAS’ agent; and 6.4.2 title to the Goods shall pass from CLAAS to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4, then, without limiting any other right or remedy Voip Unlimited CLAAS may have: (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 CLAAS may at any time: (i) 6.5.2.1 require the Customer to deliver up return all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 6.5.2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sumsGoods. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) so far as reasonably practicable, store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx or packaging mark on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.415.1(b) to clause 15.1(d); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.415.1(b) to clause 15.1(d), then, without limiting any other right or remedy Voip Unlimited the supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all the Supplier’s Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

Subject to clause 6.4, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.2.2 to clause 14.2.4, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) 6.4.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.4.2 the Supplier may at any time: (ia) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (iib) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs only if payment has been made in full 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.49.1(b) to clause 9.1(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; andand or of any (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 7.1 The risk in the Goods shall pass to the Customer on completion of delivery.Delivery 6.2 7.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives the earlier of: 7.2.1 DT receiving payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied amounts payable to DT under any Agreement; and 7.2.2 the Customer in respect of which payment has become duereselling the Goods, in which case title to the Goods shall pass to the Customer at the time of payment of all such sumsspecified in clause 7.4. 6.3 7.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 7.3.1 store the Goods separately from all other goods held by the Customer so Customer, and label them as DT’s property, in such a way that they remain readily identifiable as Voip Unlimited's DT’s property; (b) 7.3.2 not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) 7.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks risks, and for their full price on Voip Unlimited's behalf price, from the date of deliveryDelivery; (d) 7.3.4 notify Voip Unlimited DT immediately if it becomes subject to any of the events listed in clause 13.49.2; and (e) 7.3.5 give Voip Unlimited DT such information relating to the Goods as Voip Unlimited DT may require from time to time. 6.4 7.4 Subject to clause 7.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before DT receives payment for the Goods. However, if the Customer resells the Goods before that time: 7.4.1 it does so as principal and not as DT’s agent; and 7.4.2 title to the Goods shall pass from DT to the Customer immediately before the time at which resale by the Customer occurs. 7.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.49.2, then, without limiting any other right or remedy Voip Unlimited DT may have: (a) 7.5.1 the Customer's ’s right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 7.5.2 DT may at any time, at the Customer’s cost: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 7.5 2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as the Company’s agent; and 6.4.2 title to the Goods shall pass from the Company to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.415.2.2 to clause 15.2.4, then, without limiting any other right or remedy Voip Unlimited the Company may have: (a) 6.5.1 the Customer's ’s right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 the Company may at any time: (ia) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (iib) if the Customer fails to do so promptly, the Company may enter any premises of the Customer or of any third party (in which case the Customer shall, if the Company requires, procure a licence for the Company to do so) where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of deliverydelivery pursuant to clause 4.3. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.414.1(b) to clause 14.1(d); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1(b) to clause 14.1(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, 13.1(b) to clause 13.2(d) below then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Fast-Track Telecom’s property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's Fast-Track Telecom’s behalf from the date of delivery; (d) notify Voip Unlimited Fast-Track Telecom immediately if it becomes subject to any of the events listed in clause 13.4; and (e) give Voip Unlimited Fast-Track Telecom such information relating to the Goods as Voip Unlimited Fast-Track Telecom may require from time to time. 6.4 6.4. If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited Fast-Track Telecom may have: (a) the Customer's ’s right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Fast-Track Telecom may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods or services that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become dueCustomer, in which case title to the Goods shall pass at the time of payment of all such sums.sum; b) The Customer resells the Goods, in which case title to the Goods shall pass to the Customer shall pass at the tie specified in clause 6.4. earlier of 6.3 Until title to the Goods has passed to the Customer, the Customer shallCustomershall: (a) hold the Goods on a fiduciary basis as the bailee of the Supplier; (b) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's propertythe property of the Supplier; (bc) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (cd) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (de) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.48.2; and (ef) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time, but the Customer may resell or use the Goods in the ordinary course of its business 6.4 Subject to clause 6.5 the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: a) it does so as principal and not as the Supplier’s agent; and b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.4 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.48.2, thenor the Supplier reasonably believes that any such event is about to happen and notifies the Customer accordingly, then without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's ’s right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all the Goods in its possession possession, which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's propertyproperty and hold the Goods on a fiduciary basis as bailee for and on behalf of the Supplier and insofar as the Goods have not been resold, or irreversibly incorporated into another product (or products), and without limiting any other right or remedy the Supplier may have, the Supplier may at any time request that the Customer deliver up the Goods and, if the Customer fails to do so promptly, the Supplier shall be at liberty to enter any premises occupied by the Customer, or the premises of any third party (and the Customer shall procure that the Supplier has the right to so enter such premises) where the Goods are stored in order to recover the same.; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.413.2 (a) to clause 13.2(c); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, 13.2(a) to clause 13.2 (c) then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: 6.2.1 CLAAS receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited CLAAS has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums; and 6.2.2 the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 6.3.1 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's CLAAS' property; (b) 6.3.2 not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) 6.3.3 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's CLAAS' behalf from the date of delivery; (d) 6.3.4 notify Voip Unlimited CLAAS immediately if it becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4; and (e) 6.3.5 give Voip Unlimited CLAAS such information relating to the Goods as Voip Unlimited CLAAS may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before CLAAS receives payment for the Goods. However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as CLAAS’ agent; and 6.4.2 title to the Goods shall pass from CLAAS to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4, then, without limiting any other right or remedy Voip Unlimited CLAAS may have: (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 CLAAS may at any time: (i) 6.5.2.1 require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 6.5.2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives Insta has received payment in full (in cash or cleared funds) for for: 6.2.1 the Goods and Goods; and 6.2.2 any other goods that Voip Unlimited Insta has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 6.3.1 hold the Goods on a fiduciary basis as Insta's bailee; 6.3.2 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedInsta's property; (b) 6.3.3 not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) 6.3.4 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedInsta's behalf from the date of delivery; (d) 6.3.5 notify Voip Unlimited Insta immediately if it becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.12; and (e) 6.3.6 give Voip Unlimited Insta such information relating to the Goods as Voip Unlimited Insta may require from time to time, but the Customer may use the Goods in the ordinary course of its business but may not resell them without written approval from Insta. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.12, or Insta reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, without limiting any other right or remedy Voip Unlimited may have: (a) provided the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; , and without limiting any other right or remedy Insta may have, Insta may at any time require the Customer to deliver up the Goods and (ii) , if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer Customer: (a) on completion of delivery; or (b) unless Clause 6.7 applies, in instances where the Customer has paid for Goods but has requested the Supplier to store the Goods, on the Goods entering storage for the Customer; or (c) where Clause 6.7 applies, from when the Customer stops paying the Supplier for the insurance for the Goods or completion of delivery, whichever occurs first. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives payment in full (in cash or cleared funds) for as provided by the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become dueUniform Commercial Code, in which case title to the Goods shall pass at the time of payment of all such sumsSection 2- 401(2). 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or mark relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimitedthe Supplier's behalf from the date of delivery; (d) notify Voip Unlimited the Supplier immediately if it becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d); and (e) give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. (f) not remove the Goods from the Site where they were delivered and installed. (g) not modify the Goods in any way other than, in the case of refrigeration cabinets, the temperature and timer settings and connection to appropriate services to allow the refrigerated cabinet to work 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. 6.6 In the event that the Supplier supplies Goods on the basis of hire or lease purchase, then separate terms and conditions will apply. 6.7 The Customer may at its option elect to pay the Supplier to maintain insurance for Goods which the Customer requests the Supplier stores. In such instance, the Supplier will obtain insurance from the Suppliers’ insurer and use reasonable endeavors to have the interest of the Customer noted on such policy as regards the Goods in storage.
