TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited immediately if it becomes subject to any of the events listed in clause 13.4; and (e) give Voip Unlimited such information relating to the Goods as Voip Unlimited may require from time to time. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: (a) it does so as principal and not as Ornua’s agent; and‌ (b) title to the Goods shall pass from Ornua to the Customer immediately before the time at which resale by the Customer occurs. 6.4 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c), then, without limiting any other right or remedy Voip Unlimited Ornua may have:have:‌‌ (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Ornua may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably irreversibly incorporated into another product; andand‌ (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Customer Materials, the Work-in- Progress and the Deliverables shall remain with the Customer at all times and Citipost shall not be responsible for any loss, damage or theft of the Customer Materials, Work-in-Progress or the Deliverables whilst in transit to and from Citipost or its sub-contractors or whilst in Citipost’s possession and control. The risk in the Goods shall pass to the Customer on completion of deliveryhand over to the Customer’s carrier/courier. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives Citipost has received payment of the Charges and all other sums due to Citipost in full (in cash or cleared funds) for for: (a) the Goods and Goods; and (b) any other goods that Voip Unlimited Citipost has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sumsCustomer. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) hold the Goods on a fiduciary basis as Xxxxxxxx’s bailee; (b) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's Xxxxxxxx’s property; (bc) not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (cd) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's Citipost’s behalf from the date of delivery; (de) notify Voip Unlimited Citipost immediately if it becomes subject to any of the events listed in clauses 8.1 (b) to clause 13.48.1(i) of the Customer Service Agreement; and (ef) give Voip Unlimited Citipost such information relating to the Goods as Voip Unlimited Citipost may require from time to time, but the Customer may resell or use the Goods in the ordinary course of its business. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clauses 8.1 (b) to clause 13.48.1(i) of the Customer Service Agreement, or Citipost reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, without limiting any other right or remedy Voip Unlimited may have: (a) provided the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; , and without limiting any other right or remedy Citipost may have, Citipost may at any time require the Customer to deliver up the Goods and (ii) , if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier's agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 15.5 At any time before title to the Goods passes to the Customer Customer, the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may have: Supplier: (a) may by notice in writing, terminate the Customer's right under clause 15.4 to resell the Goods or use them in the ordinary course of its business ceases immediatelybusiness; and and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) product and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 8.1 The risk (but not title) in respect to the Goods shall pass goods passes to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed immediately upon delivery to the Customer, the Customer shall: (a) store Customer’s agent or representative as the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimited's property; (b) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited immediately if it becomes subject to any of the events listed in clause 13.4; and (e) give Voip Unlimited such information relating to the Goods as Voip Unlimited case may require from time to timebe. 6.4 If before 8.2 Despite Delivery, title to in the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may havegoods shall not pass from QC until: (a) the Customer has paid the Invoice in full; and (b) no other amounts whatsoever are due to be paid by the Customer to QC; or (c) the Customer sells the goods to a customer of the Customer in the ordinary course of the Customer's right to resell Goods or use them business. 8.3 Where the goods are sold by the Customer in accordance with Sub-clause 8.2(c), the Customer has resold the goods as a fiduciary agent and trustee for QC by way of bona fide sale at full market value and in the ordinary course of its business ceases immediately; andbusiness. 8.4 Until all the monies have been paid in full: (a) the Customer shall take custody of the goods as trustee and fiduciary agent for QC; (b) Voip Unlimited may at the Customer shall keep the goods separate from any time:other goods and properly marked, stored, protected and insured; (c) The Customer must hold all of the money it receives ("Proceeds"): (i) require from the Customer to deliver up all Goods in its possession sale of any property into which goods supplied have not been resold, or irrevocably incorporated into another productincorporated; and (ii) from the sale of goods including the goods supplied by the QC as fiduciary agent and trustee for QC, but the Customer need not hold on trust any money exceeding the amount of the debts at the time the money is received. The Customer acknowledges that the agreement entered into between QC and the Customer in connection with any goods supplied may constitute a security agreement for the purposes of section 20 of the Personal Property Securities Xxx 0000 (Cth) (“PPSA”) and that a purchase money security interest may exist in certain goods (and their proceeds) previously supplied by QC to the Customer (if any) and in certain future goods (and their proceeds) supplied by QC to the Customer. The Customer must execute documents and do such further acts as may be required by QC to register any purchase money security interest granted to QC under these Terms under the PPSA. 8.5 Until property in the goods passes from QC in accordance with Clause 8.2, the Customer shall upon request made by or on behalf of QC deliver up the goods to QC. If the Customer fails to do so promptlyso, QC may enter upon any premises owned, occupied or controlled by the Customer where the goods are situated (without liability for trespass or any resulting damage) and retake possession of the Customer goods and QC may keep or of any third party where the Goods are stored in order to recover themresell those repossessed goods.

However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs; and (c) the Customer shall first dispose of the Goods that it has paid for any payments received by the Supplier from the Customer shall first be appropriated to Goods disposed of by the Customer. 7.5 The Supplier shall be entitled at any time to revoke the Customer’s power to use, sell and deal with the Goods under clause 7.4. 7.6 If before title to the Goods passes to the Customer the Customer becomes subject to an Insolvency Event or encumbers or in any way charges any of the events listed in clause 13.4Goods, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's ’s right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. 7.7 Upon termination of the Customer’s power to deal with the Goods, the Customer shall place the Goods at the disposal of the Supplier and the Supplier and its servants and agents are hereby irrevocably authorised without the need for consent of any third party but using only such force as may be necessary, to enter upon any premises of the Customer or any third party for the purpose of removing the Goods. 8.1 The Customer shall: (a) ensure that the terms of the Order and the Goods Specification are complete and accurate; (b) provide the Supplier with such information and materials as the Supplier may reasonably require in order to supply the Goods, and ensure that such information is complete and accurate in all material respects; (c) comply with all applicable laws, including health and safety laws in the use of the Goods; (d) comply with any additional obligations as set out in the Goods Specification. 8.2 If the Supplier’s performance of any of its obligations under the Contract is prevented or delayed by any act or omission by the Customer or failure by the Customer to perform any relevant obligation (Customer Default): (a) the Supplier shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from the Supplier’s failure or delay to perform any of its obligations as set out in this clause 8.2; and (b) the Customer shall reimburse the Supplier on written demand for any costs or losses sustained or incurred by the Supplier arising directly or indirectly from the Customer Default. 8.3 The Customer shall (without prejudice to the Supplier’s other rights and remedies) indemnify the Supplier in full against all loss, costs, damages, charges, expenses and other liabilities awarded against or incurred by the Supplier as a result of or in connection with any claim brought against the Supplier by a third party arising out any matter in respect of which the Supplier’s liability to the customer is excluded under clause 5.

However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as Xxxxxx’x agent; and 6.4.2 title to the Goods shall pass from Xxxxxx to the Customer immediately before the time at which resale by the Customer occurs. 6.5 At any time before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4Customer, then, without limiting any other right or remedy Voip Unlimited may haveXxxxxx may: (a) 6.5.1 by notice in writing, terminate the Customer's ’s right under clause 6.4 to resell the Goods or use them in the ordinary course of its business ceases immediatelybusiness; and (b) Voip Unlimited may at any time: (i) 6.5.2 require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) product and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. 6.6 The risk in the Customer Materials shall not pass to Xxxxxx until such time as the Customer Materials have been incorporated into or amalgamated with other materials to create the Goods.

TITLE AND RISK. 6.1 7.1 The risk in the Goods shall pass to the Customer on completion of deliveryDelivery which shall occur in accordance with clause 5 and for the avoidance of doubt shall occur before the unloading is carried out by the Customer. 6.2 7.2 Title to the Goods shall not pass to the Customer until Voip Unlimited the Supplier receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited the Supplier has supplied to the Customer in respect of which payment has become dueCustomer, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 7.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 7.3.1 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price from the date of Delivery; 7.3.2 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip Unlimitedthe Supplier's property; (b) 7.3.3 not remove, deface or obscure any identifying xxxx mark or packaging on or relating to the Goods; (c) maintain 7.3.4 notify the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip Unlimited's behalf from the date of delivery; (d) notify Voip Unlimited Supplier immediately if it becomes subject to any of the events listed in clause 13.410 (a); and (e) 7.3.5 give Voip Unlimited the Supplier such information relating to the Goods as Voip Unlimited the Supplier may require from time to time. 6.4 7.4 Subject to clauses 7. (e) and (g), the Customer may resell the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. 7.5 However, if the Customer resells the Goods before that time: 7.5.1 it does so as principal and not as the Supplier’s agent; 7.5.2 title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs; 7.5.3 the Customer shall hold any sums it receives as a result of such a sale on trust for the Supplier and shall pay those sums to the Supplier immediately and on demand; and 7.5.4 the Customer shall indemnify the Supplier for any Losses (howsoever incurred) it suffers as a result of the Customer’s use or resale of the Goods. 7.6 Subject to clause 7. (g), the Customer may use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. However, if the Customer uses the Goods before that time it shall do so strictly in accordance with the Supplier’s guidance and instructions from time to time and in accordance with industry best practice in respect of the Goods. In addition, the Customer shall indemnify the Supplier for any Losses (howsoever incurred) it suffers as a result of the Customer’s use of the Goods before title has passed to the Customer. 7.7 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.410 (a), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) 7.7.1 the Customer's right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 7.7.2 the Supplier may at any time: (ia) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (iib) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if you resell the Goods before that time: 10.4.1 you do so as principal and not as our agent; and 10.4.2 title to the Goods shall pass from us to you immediately before the time at which resale by you occurs. 10.5 If before title to the Goods passes to the Customer the Customer becomes you, you become subject to any of the events listed in clause 13.418.1.1 to clause 18.1.4 (inclusive), then, without limiting any other right or remedy Voip Unlimited we may have: (a) the Customer's 10.5.1 your right to resell Goods or use them in the ordinary course of its your business ceases immediately; and (b) Voip Unlimited 10.5.2 we may at any time: (i) 10.5.2.1 require the Customer you to deliver up all Goods in its your possession which have not been resold, or irrevocably incorporated into another product; and (ii) 10.5.2.2 if the Customer fails you fail to do so promptly, enter any premises of the Customer yours or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 6.5 At any time before title to the Goods passes to the Customer Customer, the Customer becomes subject to any of the events listed in clause 13.4, then, without limiting any other right or remedy Voip Unlimited may haveSupplier may: (a) by notice in writing, terminate the Customer's right under clause 6.4 to resell the Goods or use them in the ordinary course of its business ceases immediatelybusiness; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) product and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

Title to the Goods shall not pass to the Customer until FourNet has received payment in full (in cash or cleared funds) for the Goods. If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.413.1 , or FourNet reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, without limiting any other right or remedy Voip Unlimited may have: (a) provided that the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; , and without limiting any other right or remedy FourNet may have, FourNet may at any time require the Customer to deliver up the Goods and (ii) , if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. Where the Customer procures under this Agreement a Cloud or Rental Service, neither title or risk shall pass to the Customer. On termination of this Agreement for any reason FourNet’s rights in this paragraph 8 shall remain in full effect.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of deliverydelivery to the Delivery Location. 6.2 Title Legal and beneficial title to the Goods shall not pass to the Customer until Voip Unlimited the earlier of: (a) Ornua receives payment in full (in cash or cleared funds) for the Goods and any other goods that Voip Unlimited has supplied to the Customer in respect of which payment has become dueGoods, in which case title to the Goods shall pass at the time of payment of all such sums; and (b) the Customer resells the Goods, in which case title to the Goods shall pass to the Customer at the time specified in clause 6.4. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) hold the Goods as Ornua’s fiduciary agent and bailee; (b) not pledge or in any way charge by way of security the Goods; (c) store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedOrnua's property; (bd) not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (ce) maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedOrnua's behalf from the date of delivery; (df) notify Voip Unlimited Ornua immediately if it becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c); and (eg) give Voip Unlimited Ornua such information relating to the Goods as Voip Unlimited Ornua may require from time to time. 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before Ornua receives payment for the Goods. However, if the Customer resells the Goods before that time: (a) it does so as principal and not as Ornua’s agent; and (b) title to the Goods shall pass from Ornua to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.417.2(b) or clause 17.2(c), then, without limiting any other right or remedy Voip Unlimited Ornua may have: (a) the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Ornua may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably irreversibly incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Mechanical Goods before that time: (a) it does so as principal and not as the Supplier’s agent; and (b) title to the Goods shall pass from the Supplier to the Customer immediately before the time at which resale by the Customer occurs. 7.6 If before title to the Mechanical Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.2(b) to clause 14.2(d), then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) the Customer's right to resell the Mechanical Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited the Supplier may at any time: (i) require the Customer to deliver up all Mechanical Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.411.1(c) to clause 11.1(m), or the Supplier reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, without limiting any other right or remedy Voip Unlimited the Supplier may have: (a) , the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Supplier may at any time: (i) time require the Customer to deliver up all the Goods in its possession which have not been resoldand, or irrevocably incorporated into another product; and (ii) if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored situated in order to recover them. 4.5. The Supplier’s rights under clause 4.3 and 4.4 are in addition to and do not limit any of the Supplier’s other rights or remedies.

However, if the Customer resells the Goods before that time:‌ 6.4.1 it does so as principal and not as CLAAS’ agent; and 6.4.2 title to the Goods shall pass from CLAAS to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4, then, without limiting any other right or remedy Voip Unlimited CLAAS may have:have:‌ (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 CLAAS may at any time: (i) 6.5.2.1 require the Customer to deliver up return all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 6.5.2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

Subject to clause 6.5, the Customer may use the Goods in the ordinary course of its business (but not otherwise) before Motion Impossible receives payment for the Goods. If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.4clauses 12.2(b) and 12.2(c), then, without limiting any other right or remedy Voip Unlimited Motion Impossible may have: (a) : the Customer's right to resell use the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited and Motion Impossible may at any time: (i) : require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another productpossession; and (ii) and if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them. The price for the Goods: shall be the price confirmed in the acceptance of the Order or, if no price is quoted, the price set out on the website as at the date of the Order; shall be paid in full before the Goods are dispatched to the Customer; and shall be exclusive of all costs and charges of packaging, insurance and transport, which shall also be paid by the Customer before dispatch. Unless otherwise agreed in writing, the Customer must pay the Deposit on acceptance of the Order. Motion Impossible will invoice the Customer for the balance prior to the Goods being dispatched. Goods will not be dispatched until payment in full has been received. All amounts due under the Contract shall be paid by the Customer to Motion Impossible in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law). Motion Impossible shall invoice the Customer for the charges at the relevant time, together with expenses and the costs of materials (and VAT, where appropriate). The Customer must ensure that any bank charges associated with an electronic payment are paid by the Customer and are not deducted from the invoice amount. The Customer shall pay each invoice submitted to it by Motion Impossible in full, and in cleared funds, within 14 days of receipt. Without prejudice to any other right or remedy that Motion Impossible may have, if the Customer fails to pay on the due date or any payment is subsequently dishonoured or cancelled Motion Impossible may charge the Customer for all bank charges and ancillary expenses incurred by them together with interest on such sum from the due date for payment at the annual rate of 4% above the base lending rate from time to time of Barclays Bank plc, accruing on a daily basis and being compounded quarterly until payment is made, whether before or after any judgment but at 4% a year for any period when that base rate is below 0%. Time for payment shall be of the essence of the Contract. On placing an Order for Goods (unless agreed otherwise in writing), the Customer must pay a non-refundable deposit. The deposit will be deducted from the overall cost of the Goods prior to dispatch. If the Customer terminates the Contract under clause 12, (unless otherwise agreed in writing) Motion Impossible will retain the full deposit towards the costs incurred by them prior to the date of termination. In the event that these costs exceed the deposit paid, Motion Impossible reserves the right to charge the Customer for the difference. All Intellectual Property Rights in or arising out of or in connection with Goods shall be owned by Motion Impossible.

However, if the Customer resells the Goods before that time: (a) it does so as principal and not as Xxxxxxxxxx’s agent; and (b) title to the Goods shall pass from Tilemaster to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer breaches any of its obligations under clause 6.3 or clause 8.1, or becomes subject to any of the events listed in clause 13.48.2, then, without limiting any other right or remedy Voip Unlimited Tilemaster may have: (a) the Customer's right to resell the Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited Tilemaster may at any time: (i) i. require the Customer to deliver up all Goods in its possession which that have not been resold, or irrevocably incorporated into another product; and (ii) . if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

However, if the Customer resells the Goods before that time: 6.4.1 it does so as principal and not as CLAAS’ agent; and 6.4.2 title to the Goods shall pass from CLAAS to the Customer immediately before the time at which resale by the Customer occurs. 6.5 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.4, then, without limiting any other right or remedy Voip Unlimited CLAAS may have: (a) 6.5.1 the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited 6.5.2 CLAAS may at any time: (i) 6.5.2.1 require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; and (ii) 6.5.2.2 if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

TITLE AND RISK. 6.1 The risk in the Goods shall pass to the Customer on completion of delivery. 6.2 Title to the Goods shall not pass to the Customer until Voip Unlimited receives Insta has received payment in full (in cash or cleared funds) for for: 6.2.1 the Goods and Goods; and 6.2.2 any other goods that Voip Unlimited Insta has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums. 6.3 Until title to the Goods has passed to the Customer, the Customer shall: (a) 6.3.1 hold the Goods on a fiduciary basis as Insta's bailee; 6.3.2 store the Goods separately from all other goods held by the Customer so that they remain readily identifiable as Voip UnlimitedInsta's property; (b) 6.3.3 not remove, deface or obscure any identifying xxxx or packaging on or relating to the Goods; (c) 6.3.4 maintain the Goods in satisfactory condition and keep them insured against all risks for their full price on Voip UnlimitedInsta's behalf from the date of delivery; (d) 6.3.5 notify Voip Unlimited Insta immediately if it becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.12; and (e) 6.3.6 give Voip Unlimited Insta such information relating to the Goods as Voip Unlimited Insta may require from time to time, but the Customer may use the Goods in the ordinary course of its business but may not resell them without written approval from Insta. 6.4 If before title to the Goods passes to the Customer the Customer becomes subject to any of the events listed in clause 13.414.1.2 to clause 14.1.12, or Insta reasonably believes that any such event is about to happen and notifies the Customer accordingly, then, without limiting any other right or remedy Voip Unlimited may have: (a) provided the Customer's right to resell Goods or use them in the ordinary course of its business ceases immediately; and (b) Voip Unlimited may at any time: (i) require the Customer to deliver up all Goods in its possession which have not been resold, or irrevocably incorporated into another product; , and without limiting any other right or remedy Insta may have, Insta may at any time require the Customer to deliver up the Goods and (ii) , if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Goods are stored in order to recover them.

(g) not modify the Goods in any way other than, in the case of refrigeration cabinets, the temperature and timer settings and connection to appropriate services to allow the refrigerated cabinet to work 6.4 Subject to clause 6.5, the Customer may resell or use the Goods in the ordinary course of its business (but not otherwise) before the Supplier receives payment for the Goods. In such instance, the Supplier will obtain insurance from the Suppliers’ insurer and use reasonable endeavors to have the interest of the Customer noted on such policy as regards the Goods in storage.
