Common use of Title; Assumption of Liabilities Clause in Contracts

Title; Assumption of Liabilities. Upon purchase of the System, Customer will take title to the System and will assume complete responsibility for the operation and maintenance of the System and liability for the performance of the System, and Seller shall have no further liabilities or obligations hereunder. Seller will assign, transfer and provide to Customer all rights and title incidental to ownership of the System, including, without limitation, all remaining manufacturer warranties and maintenance and operation manuals. Seller shall provide on-site training for Seller’s maintenance and operations personnel in the safe operation of the System, the monitoring interface, and proper maintenance of the System and its components.
