Title Passage Delivery of Purchased Assets. At the Closing, all of the right, title and interest of Seller (including any risk of loss) in and to all of the Purchased Assets as they exist as of the Closing shall pass to Buyer. The Purchased Assets and control thereof, shall be delivered to Buyer in the form and to the location mutually agreed by Seller and Buyer before the Closing Date or pursuant to the TSA.
