Title; Possession Under Leases. As of the Closing Date, the Borrower has delivered a complete list of all real property owned by the Borrower or any of its Subsidiaries as of the Closing Date, with the owner of such property, the location of such property, a brief description of such property, as well as a complete list of all real property leased by the Borrower or any of its Subsidiaries as lessee or sublessee as of the Closing Date, with the lessee or sublessee of such property, the location of such property, a brief description of such property, the owner of such property and the date and title of and parties to the lease for such property (including all amendments thereof). As of the Closing Date, the Borrower and its Subsidiaries (i) own and have good and marketable title (without regard to minor defects of title) to the real property referred to in Part A of such list, and (ii) have valid leasehold interests in the real property referred to in Part B of such list. As of the Closing Date, such assets and properties are subject to no Lien, except for Permitted Encumbrances. Each of the Borrower and its Subsidiaries enjoys peaceful and undisturbed possession under all leases, except for any failure to enjoy such possession which (alone or in the aggregate with any other such failures) would not reasonably be expected to have a Material Adverse Effect.
