Title; Prohibited Liens and Filings. Debtor agrees to protect the title to the Collateral. Debtor will not pledge, mortgage, otherwise encumber, create or suffer a Lien to exist on any of the Collateral (other than in favor of the Secured Party) or sell, assign or otherwise transfer any of the Collateral to or in favor of any Person other than the Secured Party without the Secured Party’s written consent. Debtor will not file or permit to be filed or recorded any financing statement or other security instrument with respect to the Collateral other than in favor of Secured Party.
