Title to Offered Units. The Selling Unitholder has, and immediately prior to any Delivery Date on which the Selling Unitholder is selling Units, the Selling Unitholder will have, good and marketable title to the Units to be sold by the Selling Unitholder hereunder on such Delivery Date and any “security entitlement” within the meaning of Section 8-501 of the Uniform Commercial Code (the “UCC”) in respect thereof, free and clear of all Liens.

Title to Offered Units. Immediately prior to each Delivery Date, each Selling Unitholder owned of record the Offered Units to be sold by such Selling Unitholder under the Underwriting Agreement on such Delivery Date, free and clear of all liens, encumbrances, equities or claims (i) in respect of which a financing statement under the Uniform Commercial Code of the State of Delaware naming any of the Selling Unitholders as debtor is on file as of a recent date in the office of the Secretary of State of the State of Delaware or (ii) pursuant to any agreement or instrument listed as an exhibit to the Registration Statement, and each Selling Unitholder had the requisite corporate, limited liability company or limited partnership (as applicable) power and authority to sell, assign, transfer and deliver such Offered Units to be sold by such Selling Unitholder under the Underwriting Agreement.
Title to Offered Units. Immediately prior to each Delivery Date, each Selling Unitholder had good and valid title to, or a valid “security entitlement” within the meaning of Section 8-501 of the UCC in respect of, the Offered Units to be sold by such Selling Unitholder under the Underwriting Agreement on such Delivery Date, free and clear of all liens, encumbrances, equities or claims, except for any liens, encumbrances, equities or claims arising under the Custody Agreement, and full right, power and authority to sell, assign, transfer and deliver such Offered Units to be sold by such Selling Unitholder under the Underwriting Agreement.

  • Title to Units When certificates representing the securities comprising the Units shall have been duly delivered to the purchasers and payment shall have been made therefor, the several purchasers shall have good and marketable title to the Notes and Warrants and/or the Reserved Shares free and clear of all liens, encumbrances and claims whatsoever (with the exception of claims arising through the acts or omissions of the purchasers and except as arising from applicable Federal and state securities laws), and the Company shall have paid all taxes, if any, in respect of the original issuance thereof.

All Partnership assets shall be recorded as the property of the Partnership in its books and records, irrespective of the name in which record title to such Partnership assets is held.
