In each case, free and clear of all Liens except for Permitted Liens and as accurately set forth in Section 4.21 of the Disclosure Statement, each of the Company and the Company Subsidiaries has good and valid title to, or holds under a lease valid and binding on the lessor party thereto, all its tangible personal properties and assets (other than Property, Plant and Equipment) that individually is or in the aggregate are Material to the Company.
