Common use of Title to Patent Rights Clause in Contracts

Title to Patent Rights. To the best knowledge of Hospital’s Office of Research, Ventures and Licensing, Hospital is the owner by assignment from Xx. Xxxxxxxx Xxxxx and Dr. Xxxxxx Xxxxxxx of the Patent Rights and has the authority to enter into this Agreement and license the Patent Rights to Company hereunder.

Title to Patent Rights. To the best knowledge of Hospital’s Office of Research, Ventures and LicensingInnovation, Hospital is the owner by assignment from Xx. Xxxxxxxx Xxxxx .Xxxx and Dr. Xxxxxx Xxxxxxx Dr.Petryshen of the Patent Rights and has the authority to enter into this Agreement and license the Patent Rights to Company hereunder.

Title to Patent Rights. To the best knowledge of Hospital’s Office of Research, Ventures and Licensing, Hospital is the sole owner by assignment from Xx. Xxxxxxxx Xxxxx and Dr. Xxxxxx Xxxxxxx of the Patent Rights associated with Invention 11049, and is co-owner with BIDMC of the Patent Rights associated with Invention 10706, and has the authority to enter into this Agreement and license the Patent Rights to Company hereunder. During the term of this Agreement, Hospital shall maintain the interinstitutional agreement (a redacted copy is attached as appendix hereto) with BIDMC in full force and effect.

Xxxxxxxx Xxxxx and Dr. Xxxxxx Xxxxxxx of the Patent Rights Rights, and (ii) has sufficient rights and the authority to enter into this Agreement and license the Patent Rights to Company hereunder.

Xxxxxxxx Xxxxx and Dr. Xxxxxx Xxxxxxx Portions of the Patent Rights exhibit, indicated by the xxxx “[***],” were omitted and has have been filed separately with the authority Securities and Exchange Commission pursuant to enter into this Agreement and license the Patent Rights Registrant’s application requesting confidential treatment pursuant to Company hereunderRule 24b-2 of the Securities Exchange Act of 1934, as amended.
