TITLE TO PLANS AND SPECIFICATIONS. All information, analyses, reports, plans and specifications developed or prepared by Transmission Owner in its performance of the Services under this Agreement (collectively, the “Plans and Specifications”) shall belong exclusively to Transco and shall, to the extent possible, be considered a work made by Transmission Owner for hire for Transco within the meaning of Title 17 of the United States Code. To the extent the Plans and Specifications may not be considered work made by Transmission Owner for hire for Transco, Transmission Owner agrees to assign, and automatically assigns at the time of creation of the Plans and Specifications, to Transco without any requirement of further consideration, any right, title, or interest Transmission Owner may have in and to such Plans and Specifications. Upon request of Transco, Transmission Owner shall take such further actions, including execution and delivery of instruments of conveyance, as Transco may deem reasonably necessary or appropriate to give full and proper effect to such assignment. Transmission Owner may retain one or more copies of the Plans and Specifications, but may not disclose them to any third party without the prior written consent of Transco.

TITLE TO PLANS AND SPECIFICATIONS. Upon Owner’s payment of the Contract Price as provided in this Agreement, the documentation prepared by Contractor (including all Contractor Submittals) shall become the exclusive property of Owner; provided, however, that Contractor’s intellectual property rights in any such documentation shall remain with Contractor and nothing in this Agreement shall be construed as limiting Contractor’s rights to use its know-how, experience and skills of its employees (excluding Owner confidential information), whether or not acquired during performance of the Work, or to perform any construction or other services for any other person. Notwithstanding the foregoing, Contractor agrees to grant, and hereby does grant, to Owner an irrevocable, fully paid-up, royalty-free, perpetual, non-exclusive, world-wide, transferable license to use such intellectual property rights as needed for installing, owning, operating, repairing, maintaining, replacing, modifying and expanding the Project (the “Licensed Technology”).

TITLE TO PLANS AND SPECIFICATIONS. All models, drawings, specifications, technical data, and other documents and information furnished to Contractor by Owner or prepared by Contractor as a deliverable to Owner (as described in Exhibit A) are confidential and proprietary to Owner, are and shall remain the property of Owner, cannot be copied or otherwise reproduced or used in any way, except in connection with the Work, and cannot be disclosed by Contractor to any third party (other than Subcontractors for purposes of performing the Work) or used in any manner detrimental to the interests of Owner. The Parties agree that they will use the above described documents and information solely for the purposes of this Facility, including its design, construction, procurement, maintenance, operation, modification and repair. The Parties agree not to use the above referenced documents and information for other projects or for purposes unrelated to the Facility. If either Party misuses the documents and information in breach of this Article 16.1, then that Party shall indemnify, defend and hold harmless the non-breaching Party from all claims asserted against the non-breaching Party arising out of such misuse. Nothing in the Article shall be construed as limiting Contractor's ownership of all rights to use its basic know-how, experience and skills, whether or not acquired during performance of the Work or to perform any engineering design or Work for any other party. Also, nothing in this Article shall prohibit Owner from using Owner furnished information on other projects or for other uses.
TITLE TO PLANS AND SPECIFICATIONS. Drawings and specifications prepared ---------------------------------- by WFI pursuant to this Agreement, which Metricom may require WFI to supply in accordance with the Agreement shall become the property of Metricom after transfer of title thereto and Metricom agrees to use the information contained therein solely for the purpose of facilitating or completing construction, maintenance, operation, modification and repair of the Facilities and any duplication thereof shall be solely for Metricom's internal use, in whole or in part, and agrees not to disclose the same or information contained therein to others for any other purpose, without the written consent of WFI. In the event Metricom uses such information for any other purpose, Metricom agrees to release, defend, indemnify and hold WFI harmless from and against any liability arising out of claims or suits asserted against WFI. Nothing herein shall be construed as limiting WFI's ownership of all rights to use its basic know-how, experience and skills, whether or not acquired during performance of the Services or to perform any engineering design or other services for any other party.
TITLE TO PLANS AND SPECIFICATIONS. All drawings and specifications prepared by Fluor Daniel pursuant to this Agreement which Fluor Daxxxx xupplies to MedImmune in accordance with xxxx Xgreement shall become the property of MedImmune. MedImmune shall indemnify, defend and hold Fluor Daniel harmless from and against all losses, expxxxxx, claims and damages which result from any disclosure, use or reuse of any such items other than in connection with completing construction, maintenance, operation, modification and/or repair of the subject Project.
