Title to Property and Assets. The Company has good, valid and marketable title, of record and beneficially, to all of its properties, and interests in properties and assets, real and personal, free and clear of all Liens, except Permitted Liens. With respect to the property and assets it leases, the Company is in material compliance with such leases and holds a valid leasehold interest free of any Liens, except Permitted Liens.
