As of the Closing Date, the Company and its Subsidiaries, as the case may be, has good and marketable title in fee simple to such of the Property (as defined in the Deed of Trust and Mortgage) as constitutes real property and good and merchantable title to the Collateral (as defined in the Security Agreement) subject in each case to no Liens other than the Liens of the Collateral Documents and Permitted Encumbrances.
