Common use of Title to Purchased Shares Clause in Contracts

Title to Purchased Shares. The Vendor owns the Purchased Shares as the registered and beneficial owner with a good title, free and clear of all Liens other than those restrictions on transfer, if any, contained in the articles of the Corporation. Upon completion of the transaction contemplated by this Agreement, the Vendor will have transferred to the Purchaser good and valid title to such Purchased Shares, free and clear of all Liens other than (i) those restrictions on transfer, if any, contained in the articles of the Corporation, and (ii) Liens granted by the Purchaser.

Title to Purchased Shares. The Vendor owns the Purchased Shares are owned by the Vendor as the registered and beneficial owner with a good title, free and clear of all Liens other than those restrictions on transfer, if any, contained in the articles of the Corporation. Upon completion of the transaction contemplated by this Agreement, the Vendor Purchaser will have transferred to the Purchaser good and valid title to such Purchased Shares, free and clear of all Liens other than (i) those restrictions on transfer, if any, contained in the articles of the Corporation, and (ii) Liens granted by the Purchaser.;

Title to Purchased Shares. The Vendor owns Subject only to this Agreement, the Purchased Shares are owned by the Vendors as the registered and beneficial owner with a good title, free and clear of all Liens Liens, other than those restrictions on transfer, if any, contained in the articles of the CorporationCorporations. Upon completion of the transaction contemplated by this Agreement, the Vendor Purchaser will have transferred to the Purchaser good and valid title title, of record and beneficial, to such the Purchased Shares, free and clear of all Liens Liens; other than (i) those restrictions on transfer, if any, contained in the articles of the CorporationCorporations, and (ii) Liens granted by the Purchaser.

Title to Purchased Shares. Upon completion of the transaction contemplated by this Agreement, the Vendor will have transferred its right, title and interest to the Purchaser good and valid title Purchased Shares to such Purchased Shares, free and clear of all Liens other than (i) those restrictions on transfer, if any, contained in the articles of the Corporation, and (ii) Liens granted by the Purchaser.;

The Vendor owns the Purchased Shares as is the registered and beneficial owner of the Purchased Shares with a good titleand valid title thereto, free and clear of all Liens (other than those transfer restrictions on transfer, if any, contained in the articles of the Corporation’s Governing Documents). Upon completion of the transaction contemplated by this Agreement, the Vendor will have transferred to the Purchaser good and valid title to such the Purchased Shares, free and clear of all Liens other than (i) those the restrictions on transfer, if any, contained in the articles Governing Documents of the Corporation, and (ii) Liens granted by the Purchaser.

Upon completion of the transaction contemplated by this Agreement, the Vendor Purchaser will have transferred to the Purchaser good and valid title to such the Purchased Shares, free and clear of all Liens other than (i) those restrictions on transfer, if any, contained in the articles of the CorporationPurchased Corporations, and (ii) Liens granted by the Purchaser.
