Title to the Projects Clause Samples
The "Title to the Projects" clause establishes which party holds legal ownership of the project or its components during and after the course of the agreement. Typically, this clause specifies whether ownership of materials, deliverables, or intellectual property created under the contract remains with the contractor until completion and payment, or transfers to the client at a certain milestone. By clearly defining when and how title passes, the clause helps prevent disputes over ownership and ensures both parties understand their rights to the project assets.
Title to the Projects. Borrower or a Wholly Owned Subsidiary of Borrower or a Subpartnership holds full legal and equitable title to the Eligible Projects subject only to Liens permitted by Section 6.17 hereof.
Title to the Projects. Borrower is, or will be upon acquisition of the Land related to each Project and the construction of the Development Work and Homes related to each Project, the sole legal and beneficial owner of such Land, Development Work and Homes, free and clear of all claims, liens and encumbrances other than Permitted Exceptions. All of the personal property which forms a part of such Development Work and Homes is or will be vested solely in Borrower, free and clear of all claims, liens and encumbrances, and the security interest of Lender in such personal property is a first lien thereon.
Title to the Projects. A fee simple interest or leasehold interest, as applicable, in the site of the Projects and title to the Projects and any and all additions, repairs, replacements or modifications thereto, shall be held in the name of the Authority, subject to Permitted Encumbrances, at all times until conveyed to the Board as provided in Section 12.1 of this Master Lease. The Board shall not have any right, title or interest in a Project or any additions, repairs, replacements, modifications or fixtures thereto except as expressly set forth herein.
Title to the Projects. Borrowers will warrant and defend the validity and priority of the Lien of the Security Instrument on each Project against the claims of all Persons whomsoever, subject only to Permitted Encumbrances.
Title to the Projects. Upon the acquisition or construction of each of the New Projects by the City, as agent for the Authority, all right, title and interest therein shall automatically vest in the City, which automatic vesting shall occur without further action by the Authority; provided, that the Authority shall, if requested by the City or if necessary to assure such automatic vesting of such right, title or interest, execute and deliver any and all documents required to assure such vesting. All right, title and interest in the Prior Projects is vested in the City.
