TO FIRST LIEN CREDIT AGREEMENT. This AMENDMENT NO. 3 TO FIRST LIEN CREDIT AGREEMENT, dated as of April 2, 2018 (this “Amendment”), among FOCUS FINANCIAL PARTNERS, LLC, a Delaware limited liability company (the “Borrower”), ROYAL BANK OF CANADA, as term administrative agent and collateral agent (in such capacities, the “Term Administrative Agent”) under the Credit Agreement referred to below and each new term loan lender party hereto (collectively, the “New Term Loan Lenders”).

TO FIRST LIEN CREDIT AGREEMENT. This AMENDMENT NO. 3 1 TO FIRST LIEN CREDIT AGREEMENT, dated as of April 2January 17, 2018 (this “Amendment”), among FOCUS FINANCIAL PARTNERS, LLC, a Delaware limited liability company (the “Borrower”), ROYAL BANK OF CANADA, as term administrative agent and collateral agent (in such capacities, the “Term Administrative Agent”) under the Credit Agreement referred to below and below, each new term loan lender Repricing Participating Lender (as defined below) party hereto and the Fronting Bank (collectively, the “New Term Loan Lenders”as defined below).

TO FIRST LIEN CREDIT AGREEMENT. This AMENDMENT NO. 3 6 TO FIRST LIEN CREDIT AGREEMENT, dated as of April 2January 27, 2018 2020 (this “Amendment”), among FOCUS FINANCIAL PARTNERS, LLC, a Delaware limited liability company (the “Borrower”), ROYAL BANK OF CANADA, as term administrative agent and collateral agent (in such capacities, the “Term Administrative Agent”) under the Credit Agreement referred to below and below, each new term loan lender Repricing Participating Lender (as defined below) party hereto and the Fronting Bank (collectively, the “New Term Loan Lenders”as defined below).

This AMENDMENT NO. 3 5 TO FIRST LIEN CREDIT AGREEMENT, dated as of April 2July 26, 2018 2019 (this “Amendment”), among FOCUS FINANCIAL PARTNERS, LLC, a Delaware limited liability company (the “Borrower”), ROYAL BANK OF CANADA, as term administrative agent and collateral agent (in such capacities, the “Term Administrative Agent”) under the Credit Agreement referred to below and each new term loan lender party hereto (collectively, the “New Term Loan Lenders”).

TO FIRST LIEN CREDIT AGREEMENT. This AMENDMENT NO. 3 8 TO FIRST LIEN CREDIT AGREEMENT, dated as of April 2July 1, 2018 2021 (this “Amendment”), among FOCUS FINANCIAL PARTNERS, LLC, a Delaware limited liability company (the “Borrower”), ROYAL BANK OF CANADA, as term administrative agent and collateral agent (in such capacities, the “Term Administrative Agent”) under the Credit Agreement referred to below and each new term loan lender party hereto (collectively, the “New Term Loan Lenders”).
