TO RIGHTS AGREEMENT. This Amendment No. 1 dated as of January 29, 2001 (this "Amendment") to the Rights Agreement (the "Agreement") dated as of May 5, 1999, between The Meridian Resource Corporation, a Texas corporation (the "Company"), and American Stock Transfer & Trust Co. (the "Rights Agent"). The Board of Directors of the Company has authorized various amendments to the Agreement. Accordingly, in consideration of the premises and the mutual agreements herein set forth, the parties hereby agree as follows:
TO RIGHTS AGREEMENT. This Amendment No. 1 To Rights Agreement is made and entered into as of the 10th day of November, 1995 between Xytronyx, Inc., a Delaware corporation (the "Company"), and First Chicago Trust Company of New York (the "Rights Agent").
TO RIGHTS AGREEMENT. This Amendment No. 1 to Rights Agreement is made and entered into as of November 21, 2002 (this "Amendment"), between CoorsTek, Inc., a Delaware corporation (the "Company"), and Xxxxx Fargo Bank Minnesota, N.A., formerly known as Norwest Bank Minnesota, N.A. (the "Rights Agent").
TO RIGHTS AGREEMENT. This Amendment No. 1 dated as of December 11, 2000 (this "Amendment") to the Rights Agreement dated as of February 25, 2000 (the "Rights Agreement"), between WILLAMETTE INDUSTRIES, INC., an Oregon corporation (the "Company"), and MELLON INVESTOR SERVICES LLC (f/k/a ChaseMellon Shareholder Services, L.L.C.) (the "Rights Agent").
TO RIGHTS AGREEMENT. AMENDMENT NO. 1 dated as of May 30, 1990, to the Rights Agreement, dated as of December 21, 1988 (the "Rights Agreement"), between First Bank System, Inc., a Delaware corporation (the "Company"), and First Chicago Trust Company of New York, a New York trust company, as Rights Agent (the "Rights Agent").
TO RIGHTS AGREEMENT. This Amendment No. 5 dated November __, 1999 hereby amends the Rights Agreement originally dated as of October 13, 1995, as amended on June 29, 1998, August 18, 1998, September 3, 1998 and May 14, 1999 (the "Agreement"), between Arch Communications Group, Inc., a Delaware corporation (the "Company"), and The Bank of New York, a national banking association, as Rights Agent (the "Rights Agent").
TO RIGHTS AGREEMENT. This AMENDMENT NO. 1 TO RIGHTS AGREEMENT (this "Amendment") is entered into as of December 30, 2002 (the "Amendment Effective Date") by and between PRIMUS TELECOMMUNICATIONS GROUP, INCORPORATED, a Delaware corporation (the "Company"), and STOCKTRANS, INC. (the "Rights Agent") with respect to that certain Rights Agreement, dated as of December 23, 1998 (the "Rights Agreement"), between the Company and the Rights Agent.
TO RIGHTS AGREEMENT dated as of the date hereof , and its execution and delivery to the Rights Agent. Nothing in this letter shall constitute a waiver of any of Xxxxx’x rights under the Convertible Notes (and for clarity, the waiver herein shall not apply to Xxxxx’x veto right over a transaction with any Person other than Ipsen or its Affiliates). TO RIGHTS AGREEMENT. This Amendment No. 2 (the “Amendment”) to the Rights Agreement dated as of April 17, 2008 between American Science & Engineering, Inc., a Massachusetts corporation, and American Stock Transfer & Trust Company, LLC, a New York corporation, as rights agent, as amended on December 18, 2014 (the “Agreement”) is made and is effective as of June 20, 2016. Capitalized terms used but not otherwise defined in this Amendment shall have the respective meanings accorded to them in the Agreement.
