Total Liabilities to Net Worth. At, and measured as of, the end of each Fiscal Quarter, a ratio of Total Liabilities, divided by Net Worth (in each case as determined in accordance with GAAP), of greater than 0.75 to 1.0.

Total Liabilities to Net Worth. Permit the ratio of Total Liabilities to Consolidated Tangible Net Worth as of the last day of any fiscal month (i) as of and after January 29, 2000 to be greater than 1.5 to 1.0; and (ii) as of and after January 27, 2001 to be greater than 0.75 to 1.0.
