Total Unencumbered Assets. The Borrower shall at all times maintain Total Unencumbered Assets of not less than 150% of the aggregate outstanding principal amount of the Unsecured Debt of the Borrower and its Subsidiaries on a consolidated basis in accordance with GAAP.

Total Unencumbered Assets. Section 2.1 With respect to the Securities of all series created on or after the date of this Fourth Supplemental Indenture, the definition of “Total Unencumbered Assets” is amended and restated to read in its entirety as follows:
Total Unencumbered Assets. At the end of each fiscal quarter, Guarantor shall maintain Total Unencumbered Assets of no less than 100% of the aggregate principal amount of the Unsecured Indebtedness of the Guarantor.

  • Consolidated Net Worth Borrower will at the end of each fiscal quarter maintain Consolidated Net Worth in an amount of not less than the sum of (i) $625,000,000 plus (ii) fifty percent (50%) of the aggregate Consolidated Net Income, if positive, for the period beginning January 1, 2005 and ending on the last day of such fiscal quarter.
