TPA AND UR LICENSES. The Buyer shall have received approval from all required state agencies, including Florida's and Texas' Department of Insurance, to operate as a "third party administrator" or the Buyer shall have otherwise received such assurances as the Buyer, in its sole discretion, deems necessary or advisable, that it will be able to operate the Businesses pursuant to an agreement with a holder of a TPA license upon such terms and conditions acceptable to the Buyer in its sole discretion.
