Trademark Usage Guidelines. Purchaser, its Subsidiaries and Authorized Dealers shall use the Licensed Marks during the Term only in a manner that is consistent with the Trademark Usage Guidelines.
Trademark Usage Guidelines. Client agrees that any use or display of Company or of any trademarks, trade names, or trade dress of Company shall be in accordance with Company’s then current Trademark Usage Guidelines, which may be provided online, in writing, or orally. Client, acknowledges and agrees that Company is the exclusive owner of all trademarks, trade names, and trade dress associated with the Company products and services and agrees that it will not in any way disparage or denigrate such names or marks. Client agrees that it will not seek legal protection or ownership of any trademark, trade name, or trade dress (by statute, under common law, or otherwise) that is confusingly similar to any trademark, trade name, or trade dress of Company.
Trademark Usage Guidelines. Keysight, its Affiliates and Authorized Dealers shall use the Licensed Marks during the Term only in a manner that is consistent with the Trademark Usage Guidelines. To the extent that Keysight’s use of the Licensed Marks is unchanged from how the Licensed Marks were used in a product Sold by Agilent’s Electronic Measurement Group prior to the Effective Date, such use in the counterpart Keysight product shall be deemed to be consistent with the Trademark Usage Guidelines.
Trademark Usage Guidelines. Lumentum, each member of the Lumentum Group and their respective Authorized Dealers shall use the Licensed Marks only in a manner that is consistent with the Trademark Usage Guidelines. To the extent that Lumentum’s use of the Licensed Marks is unchanged from how the Licensed Marks were used in a product Sold by JDSU prior to the Effective Date, such use in the Licensed Transitional Products shall be deemed to be consistent with the Trademark Usage Guidelines. At JDSU’s reasonable request, Lumentum agrees to furnish or make available for inspection to JDSU one (1) sample of Collateral Materials and Marketing Materials of the Lumentum Group that include one or more of the Licensed Marks. Lumentum further agrees to take reasonably appropriate measures to require its Authorized Dealers to furnish or make available for inspection to Lumentum samples of Marketing Materials and Collateral Materials of its Authorized Dealers.
Trademark Usage Guidelines. Trademark Usage Guidelines" means the guidelines for proper usage of the Licensed Marks, as in use immediately prior to the Separation Date, as such guidelines may be revised and updated in writing by HP from time to time.
Trademark Usage Guidelines. RemainCo shall comply with the Trademark Usage Guidelines. Any changes to the Trademark Usage Guidelines after the Effective Date shall be handled through the Branding Committee. RemainCo acknowledges that, on or before the Effective Date, SpinCo delivered a copy of the current Trademark Usage Guidelines to RemainCo.
Trademark Usage Guidelines. The use by Alipay and any of its Subsidiary Sublicensees of the Alipay-Exclusive Trademarks or by Purchaser and any of its Subsidiary Sublicensees of the New FIG Business-Exclusive Trademarks, as applicable, shall at all times adhere to Alibaba’s and Alibaba’s Subsidiary’s, as applicable, then-current trademark or brand usage guidelines, as such guidelines may be revised during the Term by Alibaba or Alibaba’s Subsidiaries. Upon Alibaba’s request, Alipay, Purchaser or any of their respective Subsidiary Sublicensees shall provide Alibaba with samples of advertising and promotional materials developed by or for Alipay, Purchaser or the applicable Subsidiary Sublicensee(s) and using the Alipay-Exclusive Trademarks or New FIG Business-Exclusive Trademarks, as applicable, in order for Alibaba to assess compliance with this Section 2.6(a). In the event of any breach with respect to Alipay’s, Purchaser’s or any of their respective Subsidiary Sublicensee’s failure to adhere to the then-current applicable Alibaba or Alibaba Subsidiary trademark or brand usage guidelines, Alipay, Purchaser and/or the applicable Subsidiary Sublicensee(s), as applicable, shall immediately cease all use of the materials not conforming with such brand usage guidelines and shall cure, or cause to be cured, within thirty (30) days, any breach with respect to Alipay’s, Purchaser’s or the applicable Subsidiary Sublicensee’s use thereof. Alipay and Purchaser shall not use, nor permit the use of, and shall cause their respective Subsidiary Sublicensees not to use or permit the use of, the Alipay-Exclusive Trademarks or the New FIG Business-Exclusive Trademarks in any manner that could otherwise reasonably be expected to impair, tarnish, dilute or otherwise damage the value and goodwill associated with Alipay-Exclusive Trademarks or the New FIG Business-Exclusive Trademarks.
Trademark Usage Guidelines. (a) Any use of a Licensed Xxxx, including in combination with any other Xxxx of Licensee, must comply with the Trademark Usage Guidelines (i) in all respects relating to the Appearance of any Licensed Xxxx and (ii) otherwise in all material respects, including with respect to the inclusion of all appropriate trademark notices, including the use of the designations ® and sm, as applicable, with the Licensed Marks; provided, however, that solely to the extent that any Licensed Xxxx is used in a media that does not reasonably permit use in conformity with such Trademark Usage Guidelines (including by way of illustration and not of limitation, use of the Licensed Marks in XXXXX filings with the Securities and Exchange Commission), such use shall not be prohibited by this Section 3.4(a).
(b) Subject to Section 3.4(a) above:
(i) Licensee shall provide Licensor a draft of Licensee’s first Identity Standards Manual that it proposes to include in a UFOC with respect to prospective Branded Franchisees, and which the parties acknowledge may be in a form comparable to the forms of the identity standards manuals that the Licensee Group uses in connection with its other franchisee systems, but must comply with the Trademark Usage Guidelines with respect to the Appearance of any Licensed Xxxx. Licensor shall review such draft Identity Standards Manual promptly upon receipt, and Licensee acknowledges and agrees that the final Identity Standards Manual included in such UFOC shall be subject to Licensor’s prior approval, such approval not to be unreasonably withheld. To the extent that the Identity Standards Manual approved by Licensor pursuant to the foregoing differs from the Trademark Usage Guidelines, Licensee shall have the right to rely upon and comply with such Identity Standards Manual approved by Licensor as provided herein.
(ii) The Identity Standards Manual approved by Licensor may be amended or supplemented in good faith by Licensee from time to time, provided that any such amendment or supplement complies with the Trademark Usage Guidelines with respect to the Appearance of any Licensed Xxxx and contains or proposes a change to the Identity Standards Manual that is of a quality equal to or higher, or as or more strict, than the Identity Standards Manual approved by Licensor pursuant to Section 3.4(b)(i).

Trademark Usage Guidelines. The foregoing license is subject to Licensee’s continuing compliance with the Trademark Usage Guidelines (“Guidelines”) which are available from xxxxx@xxxxxxxxxxxxxxxxxxx.xxx and are subject to amendment from time to time by OpenPOWER in its sole discretion. Licensee shall comply with any updated Guidelines within the time periods described in Section 2.
