Common use of Trademarks and Fund Names Clause in Contracts

Trademarks and Fund Names. (a) Except as may otherwise be provided in a License Agreement among Invesco Management Group Inc., LIFE COMPANY and UNDERWRITER, neither LIFE COMPANY nor UNDERWRITER or any of their respective affiliates, shall use any trademark, trade name, service xxxx or logo of AVIF (IVIF), INVESCO or any of their respective affiliates, or any variation of any such trademark, trade name, service xxxx or logo, without AVIF (IVIF)’s or INVESCO’s prior written consent, the granting of which shall be at AVIF (IVIF)’s or INVESCO’s sole option. (b) Except as otherwise expressly provided in this Agreement, neither AVIF (IVIF), its investment adviser, its principal underwriter, or any affiliates thereof shall use any trademark, trade name, service xxxx or logo of LIFE COMPANY, UNDERWRITER or any of their affiliates, or any variation of any such trademark, trade name, service xxxx or logo, without LIFE COMPANY’s or UNDERWRITER’s prior written consent, the granting of which shall be at LIFE COMPANY’s or UNDERWRITER’s sole option.
