Trading Markets Clause Samples
The Trading Markets clause defines the specific financial markets or exchanges where transactions under the agreement may be executed. It typically lists or references recognized exchanges, such as the New York Stock Exchange or NASDAQ, and may set criteria for what constitutes an eligible trading market. By clearly identifying permissible trading venues, this clause ensures that all parties understand where trades can legally and efficiently occur, thereby reducing the risk of disputes and ensuring compliance with regulatory requirements.
Trading Markets. The listing or trading of the Conversion Shares and Warrant Shares on each Trading Market shall have been approved by such Trading Market authority.
Trading Markets. The shares of Common Stock are trading, and the Company believes in good faith that they shall continue to trade uninterrupted, on the Principal Trading Market and all other Trading Markets for such Common Stock (subject to any volume restrictions set forth in the Notes). All of the shares of Common Stock issued or issuable pursuant to the Transaction Documents (including the Issuable Securities) are listed or quoted for trading, and the Company shall use its best efforts to ensure that such shares continue to be listed or quoted for trading interrupted, on the Principal Trading Market and each such other Trading Market.
Trading Markets. The shares of Common Stock are trading on the OTC Markets Group Inc. PINK Trading Market (subject to any volume restrictions set forth in the Note) and all of the shares issuable pursuant to the Transaction Documents are listed or quoted for trading on such Trading Market (and the Company believes, in good faith, that trading of the shares of Common Stock on such Trading Market will continue uninterrupted for the foreseeable future). The Company shall use its best efforts to ensure that such shares continue, without limitation, to be listed or quoted for trading on such Trading Market.
Trading Markets. Following the consummation of a Qualified Event, the Company shall use its best efforts to ensure that all Issuable Securities are listed or quoted for uninterrupted trading on a Trading Market.
Trading Markets. The shares of Common Stock are trading, and DHAC believes in good faith that they shall continue to trade uninterrupted, on any Trading Market (subject to any volume restrictions set forth in the Notes). All of the shares issuable pursuant to the Transaction Documents (including the Commitment Shares and Warrant Shares) are listed or quoted for trading, and DHAC shall use its best efforts to ensure that such shares continue to be listed or quoted for trading interrupted, on any Trading Market.
Trading Markets. Following the consummation of the Direct Listing, the Company shall use its best efforts to ensure that all Issuable Securities are listed or quoted for uninterrupted trading on a Trading Market.
Trading Markets. The issued and outstanding Ordinary Shares are registered pursuant to Section 12(b) of the Exchange Act and are listed for trading on the Nasdaq Global Market under the symbol “KWM”. The Company is in compliance with all listing requirements of each Trading Market applicable to the Company. As of the date of this Agreement, there is no suit, action, proceeding or investigation pending or, to the knowledge of the Company, threatened against the Company by any Trading Market, the SEC or any other securities regulator to prohibit or terminate the listing of the Ordinary Shares on any Trading Market or to deregister the Ordinary Shares under the Exchange Act. The Company has taken no action as of the date of this Agreement that is designed to terminate the registration of the Ordinary Shares under the Exchange Act. The Ordinary Shares are currently eligible for electronic transfer through the Depository Trust Company or another established clearing corporation.
Trading Markets. Following the Liquidity Event, the Company shall ensure that the shares of Common Stock are trading, and shall continue to trade uninterrupted, on the Principal Trading Market and all other Trading Markets for such Common Stock. All of the shares of Common Stock issued or issuable pursuant to the Transaction Documents (including the Effective Date Shares) shall be listed or quoted for trading, and the Company shall use its best efforts to ensure that such shares continue to be listed or quoted for trading interrupted, on the Principal Trading Market and each such other Trading Market. “Liquidity Event” means the shares of Common Stock being listed for trading on the NYSE American, the Nasdaq Capital Market, the Nasdaq Global Market, the Nasdaq Global Select Market or the New York Stock Exchange.
Trading Markets. The shares of Common Stock are listed on the NYSE American Trading Market (and the Company believes, in good faith, that trading of the shares of Common Stock on such Trading Market will continue uninterrupted for the foreseeable future; noting, however, that the Company has received notices from NYSE American stating that the Company was not in compliance with the stockholders’ equity requirements of Section 1003(a) of the NYSE American Company Guide and has also received notification from NYSE American LLC that the Company’s plan to regain compliance with NYSE American’s listing standards was accepted, as disclosed in the SEC Documents). The Company shall use its best efforts to ensure that such shares continue, without limitation, to be listed or quoted for trading on such Trading Market.
Trading Markets. The majority of all trading in Parent Stock currently takes place in, on or through the facilities of securities exchanges and inter-dealer quotation systems not in the United States.
