CONDITIONS TO CLOSING OF THE PURCHASER. The obligation of the Purchaser to purchase the Securities at the Closing is subject to the fulfillment to the Purchaser’s satisfaction on or prior to the Closing Date of each of the following conditions, any of which may be waived by such Purchaser:

The obligation of the Purchaser to purchase the Forward Purchase Units at the Closing under this Agreement shall be subject to the fulfillment, at or prior to the Closing of each of the following conditions, any of which, to the extent permitted by applicable laws, may be waived by the Purchaser:

(a) The representations and warranties of the Seller contained herein shall be true and correct when made and as of the Closing Date.
(b) The Seller shall have performed and complied with all agreements on its part to be performed or complied with prior to or on the Closing Date pursuant hereto.
CONDITIONS TO CLOSING OF THE PURCHASER. The Purchaser's obligations to purchase the Note at the Closing are, at the option of the Purchaser, subject to the fulfillment on or prior to the Closing Date of the following conditions:
