Common use of Trading Status Clause in Contracts

The Common Stock is listed for quotation on the OTCQB with OTC Markets Group, Inc., under the symbol “UPNT.” To the best of Sellers’ knowledge, UPNT has not been threatened and is not subject to removal of its Common Stock from the OTCQB nor of any actions by the Sellers’ or any other person that could result in the Common Stock no longer being eligible to be quoted on the OTCQB.

The Common Stock UPNT’s common stock is listed for quotation on the OTCQB with OTC Markets Group, Inc., under the symbol “UPNT.” To the best of Sellers’ knowledge, UPNT has not been threatened and is not subject to removal of its Common Stock common stock from the OTCQB nor of any actions by the Sellers’ or any other person that could result in the Common Stock no longer being eligible to be quoted on the OTCQB.

The Common Stock UPNT’s common stock is listed for quotation on the OTCQB OTC Bulletin Board, with OTC Markets Group, Inc., under the symbol “UPNT.” To the best knowledge of Sellers’ knowledgeSellers and UPNT, UPNT has not been threatened and is not subject to removal of its Common Stock common stock from the OTCQB OTC Bulletin Board nor of is it aware that its DTC eligible status is in any actions by the Sellers’ way threatened or any other person that could result in the Common Stock no longer being eligible to be quoted on the OTCQBimpaired.
