TRANSACT BUSINESS. Each WP Subsidiary is duly qualified to transact business as a foreign Person and is in good standing in every jurisdiction in which the character of its properties, owned or leased, or the nature of its activities makes such qualification necessary, except where the failure to be so qualified or in good standing would not have a Material Adverse Effect on the WP Entities or the WP Business.
