Transaction Compensation Amount. At the Closing, Buyer shall deliver to the Company the Transaction Compensation Amount payable as of the Closing specified in the Closing Payment Schedule, which the Company shall pay to the applicable payees specified in the Closing Payment Schedule on the first regularly scheduled payroll date occurring after the Closing Date.
