Common use of Transaction Not a Breach Clause in Contracts

Transaction Not a Breach. The execution and delivery of this Agreement and its related documents, the performance by Buyer hereunder, and the consummation of the transactions described herein, will not conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to Buyer, or (ii) conflict with or result in a material breach of any contract, agreement, or other instrument, obligation or understanding of any nature to which Buyer is a party or by which Buyer is bound or affected.

Transaction Not a Breach. The execution execution, delivery and delivery performance of this Agreement and its related documents, the performance Transaction Documents by Buyer hereunder, and the consummation of the transactions described herein, Purchaser will not violate and conflict with or violate (i) any lawwith, ordinance, regulation, order, award, judgment, injunction or decree applicable to Buyer, or (ii) conflict with or result in a material the breach of any of the terms, conditions, or provisions of Purchaser’s certificate of incorporation or bylaws or of any contract, agreement, mortgage, or other instrument, instrument or obligation or understanding of any nature to which Buyer Purchaser is a party or by which Buyer Purchaser is bound or affectedbound.

The execution and delivery of this Agreement and its related documents, the performance by Buyer Seller hereunder, and the consummation of the transactions described herein, will not conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to BuyerSeller or to the Transferred Assets and Liabilities, or (ii) conflict with or result in a material breach of or constitute a default under any contractof the terms, agreementconditions or provisions of the articles of incorporation, bylaws, or other instrument, obligation instruments of formation or understanding organization of any nature to which Buyer is a party or by which Buyer is bound or affectedSeller.

The execution and delivery of this Agreement and its related documents, the performance by Buyer Sellers hereunder, and the consummation of the transactions described herein, will not conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to BuyerSellers or to the Business Assets, or (ii) conflict with or result in a material breach of or constitute a default under any contractof the terms, agreementconditions or provisions of the articles of incorporation, bylaws, or other instrument, obligation instruments of formation or understanding organization of any nature to which Buyer is a party or by which Buyer is bound or affectedSellers.

The Neither the execution and delivery of this Agreement and its related documentsthe Transaction Documents by such Seller, nor the performance by Buyer hereunder, and the consummation such Seller of the transactions described hereincontemplated hereby or thereby will violate or conflict with, will not conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to Buyer, or (ii) conflict with or result in a material the breach of any of the terms, conditions, or provisions of any contract, agreement, mortgage, or other instrument, instrument or obligation or understanding of any nature to which Buyer such Seller is a party or by which Buyer such Seller is bound or affectedbound.

Transaction Not a Breach. The Neither the execution and delivery of this Agreement and by BUYER nor its related documentsperformance will violate, the performance by Buyer hereunderconflict with, and the consummation or result in a breach of the transactions described hereinany provision of any Law, will not conflict with or violate (i) any law, ordinancerule, regulation, order, awardpermit, judgment, injunction injunction, decree or decree applicable to Buyer, other decision of any court or (ii) other tribunal or any Governmental Authority binding on BUYER or conflict with or result in a material the breach of any of the terms, conditions or provisions of any contract, agreement, mortgage or other instrument, instrument or obligation or understanding of any nature to which Buyer BUYER is a party or by which Buyer BUYER is bound or affectedbound.

The Neither the execution and delivery of this Agreement and its related documentsthe Transaction Documents by Sellers, nor the performance by Buyer hereunder, and the consummation Sellers of the transactions described hereincontemplated hereby or thereby will violate or conflict with, will not conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to Buyer, or (ii) conflict with or result in a the material breach of any of the material terms, conditions, or provisions of any contract, agreement, mortgage, or other instrument, instrument or material obligation or understanding of any nature to which Buyer any Seller is a party or by which Buyer any Seller is bound or affectedbound.

Transaction Not a Breach. The Neither the execution and delivery of this Agreement and Agreement, nor its related documents, the performance by Buyer hereunder, and the consummation of the transactions described herein, Purchaser will not conflict with violate or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to Buyer, or (ii) conflict with or result in a material breach of any provision of any Law binding on the Purchaser or conflict with or result in the breach of any of the terms, conditions or provisions of the Organizational Documents of the Purchaser or of any contract, agreement, mortgage or other instrument, instrument or obligation or understanding of any nature to which Buyer the Purchaser is a party or by which Buyer the Purchaser is bound or affectedbound.

The execution and delivery of this Agreement and its related documents, the performance by Buyer Seller hereunder, and the consummation of the transactions described herein, will not conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to BuyerSeller or to the Business Assets, or (ii) conflict with or result in a material breach of or constitute a default under any contractof the terms, agreementconditions or provisions of the articles of incorporation, bylaws, or other instrument, obligation instruments of formation or understanding organization of any nature to which Buyer is a party or by which Buyer is bound or affectedSeller.

The execution and delivery of this Agreement and its related documents, the performance by Buyer Purchaser hereunder, and the consummation of the transactions described herein, will not conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, injunction or decree applicable to BuyerPurchaser, or (ii) conflict with or result in a material breach of any contract, agreement, or other instrument, obligation or understanding of any nature to which Buyer Purchaser is a party or by which Buyer Purchaser is bound or affected.

The execution execution, delivery and delivery performance of this Agreement and its related documents, the performance Transaction Documents by Buyer hereunder, and the consummation of the transactions described herein, will not violate or conflict with or violate (i) any lawwith, ordinance, regulation, order, award, judgment, injunction or decree applicable to Buyer, or (ii) conflict with or result in a material the breach of any of the terms, conditions, or provisions of any contract, agreement, mortgage, or other instrument, instrument or obligation or understanding of any nature to which Buyer is a party or by which Buyer is bound or affectedbound.

Transaction Not a Breach. The execution execution, delivery and delivery performance by Buyer of this Agreement and its related documents, the performance by Buyer hereunder, and the consummation of the transactions described herein, Transaction Documents will not not: (a) violate or conflict with or violate (i) any law, ordinance, regulation, order, award, judgment, writ or injunction or decree applicable to Buyer, or (ii) conflict with or result in a material breach of any contractcourt, agreement, administrative agency or other instrument, obligation or understanding of any nature Governmental Authority to which Buyer is a party subject; or (b) violate any provision of the organizational documents or by which Buyer is bound or affectedoperating documents of Buyer.
