Transaction Not a Breach. Neither the execution and delivery of this Agreement or the Other Agreements, nor their performance will violate, conflict with, or result in a breach of any provision of any Law, rule, regulation, order, permit, judgment, injunction, decree or other decision of any court or other tribunal or any Governmental Authority binding on Clarant or Newco or conflict with or result in the breach of any of the terms, conditions or provisions of the Clarant Charter Documents or of any contract, agreement, mortgage or other instrument or obligation to which Clarant or Newco is a party or by which Clarant or Newco is bound.
