Transactions Arm's-Length. The terms and conditions (including without limitation the amount and timing of consideration associated therewith) of the Transactions were arrived at on the basis of arm's length negotiation between the Parties to such Transactions and shall be respected by each of them for federal, state, local, foreign and other tax reporting purposes.
