Transactions Between the Company and the Manager or the Member(s). The Manager, the Member(s) and their respective Affiliates may engage in any transaction or other business arrangement (including, without limitation, the purchase, sale, lease or exchange of any property or the rendering of any service or the establishment of any salary, other compensation or other terms of employment) with the Company so long as the terms of such transaction or other arrangement are at least as favorable to the Company as could have been obtained or entered into in a comparable arm’s-length transaction with a third party that is not an Affiliate.
Transactions Between the Company. AND THE PARENT OR SELLER. Except as set forth on SECTION 3.18 of the Seller Disclosure Letter, there are no Contracts between the Company or any of the Company Subsidiaries, on the one hand, and the Parent or the Seller or any of their respective Subsidiaries (excluding the Company and the Company Subsidiaries) or any of their respective directors or officers, on the other hand, that require any payments from the Company or any of the Company Subsidiaries, on the one hand, to the Parent or the Seller or any of their respective Subsidiaries (excluding the Company and the Company Subsidiaries) or any of their respective directors or officers, on the other hand.
