Common use of Transactions Between the Company and the Members Clause in Contracts

Transactions Between the Company and the Members. Notwithstanding that it may constitute a conflict of interest, the Members and/or Manager may, and may cause their Affiliates to, engage in any transaction with the Company (including, without limitation, the purchase, sale, lease or exchange of any property, the lending of money, the rendering of any service or the establishment of any salary, other compensation or other terms of employment) so long as that transaction is not expressly prohibited by this Agreement.

Transactions Between the Company and the Members. Notwithstanding that it may constitute a conflict of interest, but subject to the terms and conditions of this Agreement, the Members and/or Manager may, and the Managers and their respective Affiliates may cause their Affiliates to, engage in any transaction with the Company (including, without limitation, including the purchase, sale, lease or exchange of any property, lending funds to the lending of moneyCompany, or the rendering of any service or the establishment of any salary, other compensation or other terms of employment) so long as that transaction with the Company, provided it is not expressly prohibited approved by this Agreementthe Board and/or the Class A Members in accordance with the terms hereof.
