Transactions with Affiliates, Directors and Shareholders. Except as set forth in Exhibit 3.10 hereto, there are and have been no con­tracts, agree­ments, arrangements or other transac­tions between the Company, and any officer, di­rector, or 5% stock­holder of the Compa­ny, or any cor­poration or other entity con­trolled by any such officer, director or 5% stockholder, a member of any such officer, director or 5% stockholder's family, or any af­filiate of any such officer, director or 5% stockholder.
