Common use of Transactions with Directors, Officers and Affiliates Clause in Contracts

Transactions with Directors, Officers and Affiliates. Except as set forth on Schedule 3.30 attached hereto, since January 1, 2008, there have been no transactions between or among Seller and any of its directors, managers, officers, employees, members, stockholders or Affiliates. To the Knowledge of Seller, except as set forth on Schedule 3.30, none of the managers, officers, employees, members or Affiliates of Seller, or any spouse or relative of any of such Persons, has been a manager, officer, employee, member or Affiliate of, or has had any direct or indirect interest in, any Person with which Seller has had a business relationship, including as a supplier, customer or sales representative of Seller or which has competed with or been engaged in any business of the kind being conducted by the Business.

Except as set forth on Schedule 3.30 attached hereto, since January 1, 20083.30, there have been no transactions between or among Seller and any director, officer, employee, stockholder or other Affiliate of its directors, managers, officers, employees, members, stockholders or AffiliatesSeller. To the Knowledge of Seller, except as set forth on Schedule 3.30since such date, none of the managersdirectors, officers, employees, members stockholders or other Affiliates of Seller, or any spouse or relative of any of such Persons, has been a manager, officer, employee, member director or Affiliate officer of, or has had any direct or indirect interest in, any Person with which since such date Seller has had a business relationship, including as a supplier, customer or sales representative of Seller or which has competed with or been engaged in any business of the kind being conducted by the Business.

Except as set forth on Schedule 3.30 attached hereto3.18, (a) since January 1, 20082000, there have been no transactions between or among Seller and any of its directorsdirector, managersofficer, officersemployee, employees, members, stockholders stockholder or Affiliates. To the Knowledge other Affiliate of Seller, except as set forth on Schedule 3.30, (b) during the past three years none of the managers, officers, employees, members directors or Affiliates employees of Seller, or any spouse or relative of any of such Personspersons, has been a manager, officer, employee, member director or Affiliate officer of, or has had any direct or indirect interest in, any Person with firm, corporation, association or business enterprise which Seller during such period has had a business relationship, including as been a supplier, customer or sales representative agent of Seller or which has competed with or been engaged in any business of the kind being conducted by Seller, and (c) no Affiliate of Seller owns or has any rights in or to any of the Businessassets, properties or rights used by the Seller Business in the ordinary course of its business.

Except as set forth on Schedule 3.30 2.28 attached hereto, since January 1, 20082002, there have been no transactions between or among Seller and any director, officer, Employee, stockholder or other affiliate of its directors, managers, officers, employees, members, stockholders Seller or Affiliatesany spouse or other relative of any of such Persons. To the Knowledge of SellerSeller and the Shareholder, except as set forth on Schedule 3.30since such date, none of the managersdirectors, officers, employeesEmployees, members stockholders or Affiliates other affiliates of Seller, or any spouse or relative of any of such Persons, has been a manager, officer, employee, member director or Affiliate officer of, or has had any direct or indirect interest in, any Person with which since such date Seller has had a business relationship, including as a supplier, customer or sales representative of Seller or which has competed with or been engaged in any business of the kind being conducted by the Business.
