Transactions with Group Affiliates. The Company will not, and will not permit any of its Material Subsidiaries to, directly or indirectly, engage in any material transaction with a Group Affiliate (other than a Wholly-Owned Subsidiary) unless the terms of such transaction are determined on an arm’s-length basis and are substantially as favourable to the Company or such Subsidiary as the terms which could have been obtained from a Person which was not a Group Affiliate.
