Common use of Transactions with Interested Persons Clause in Contracts

Transactions with Interested Persons. Except as set forth in Schedule 2.22 hereto, neither Seller, nor any shareholder, officer, supervisory employee or director of Seller or, to the knowledge of Seller or the Principals, any of their respective spouses or family members owns directly or indirectly on an individual or joint basis any material interest in, or serves as an officer or director or in another similar capacity of, any competitor or supplier of Seller, or any organization which has a material contract or arrangement with Seller.

Transactions with Interested Persons. Except as set forth in shown on Schedule 2.22 hereto, neither Seller, nor any shareholder, officer, supervisory employee or director of Seller or4.18, to the knowledge Seller’s knowledge, no officer, director or stockholder of the Seller or the Principals, any of their respective Affiliates, or their respective spouses or family members owns children owns, directly or indirectly indirectly, on an individual or joint basis basis, any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of Seller, or any organization which has a material contract or arrangement with the Seller.

Transactions with Interested Persons. Except as set forth in Schedule 2.22 2.23 hereto, neither Seller, nor any shareholderstockholder, officer, supervisory employee or director of Seller or, to the knowledge of Seller or Seller, Owners and the Primary Principals, any of their respective spouses or family members owns directly or indirectly on an individual or joint basis any material interest in, or serves as an officer or director or in another similar capacity of, any competitor or supplier of Seller, or any organization which has a material contract or arrangement with Seller.

Transactions with Interested Persons. Except as set forth in on Schedule 2.22 6.1(aa) hereto, neither no officer, director, shareholder, employee, or affiliate of the Seller, nor any shareholder, officer, supervisory employee or director of Seller or, to the knowledge of Seller or the Principals, any of their respective spouses or family members owns children is or owns, directly or indirectly indirectly, on an individual or joint basis basis, any material interest in, or serves as an officer or director or in another similar capacity of, or has any contractual relationship with any customer, competitor or supplier of Seller, the Business or any organization which has a material contract contract, agreement, arrangement or arrangement commitment with Seller.

Transactions with Interested Persons. Except as set forth in shown on Schedule 2.22 hereto, neither Seller, nor any shareholder, officer, supervisory employee or director of Seller or2.15, to the knowledge of Sellers, no officer, supervisory employee, director or stockholder of either Seller or the Principalsany affiliate, any of or their respective spouses or family members owns children (i) owns, directly or indirectly indirectly, on an individual or joint basis basis, any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of Seller, the Business or any organization which has a material contract or arrangement with Sellera Seller pertaining to the Business, or (ii) has any contract or agreement with a Seller pertaining to the Business.

Except as set forth in Schedule 2.22 5.21 hereto, neither Seller, nor any shareholder, no officer, supervisory employee employee, member or director manager of the Seller or, to the knowledge of Seller or the Principals, any and none of their respective spouses parents, grandparents, spouses, children, siblings or family members grandchildren owns directly or indirectly on an individual or joint basis any material interest in, or serves as an officer or director or in another similar capacity of, any competitor competitor, supplier or supplier customer of Seller, the Seller or any organization which has a material contract organization, person or arrangement entity with Sellerwhom the Seller is doing business.

Except as set forth to the extent described in Schedule 2.22 2.19 hereto, neither Seller, nor none of any shareholder, officer, supervisory employee employee, or director of Seller orthe Seller, to the knowledge of Seller Stockholder or the Principals, any of their respective spouses or family members owns children, (i) owns, directly or indirectly indirectly, on an individual or joint basis basis, any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of the Seller, or any organization which has a material contract or arrangement with the Seller, or (ii) has any contract or agreement with the Seller.

Transactions with Interested Persons. Except as set forth in on Schedule 2.22 5.1(cc) attached hereto, neither no officer, director, shareholder or employee of the Seller, nor any shareholder, officer, supervisory employee or director of Seller or, to the knowledge of Seller Company or the PrincipalsSubsidiary, any of or their respective spouses or family members owns children is or owns, directly or indirectly indirectly, on an individual or joint basis basis, any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of Seller, the Business or any organization which has a material contract contract, agreement, arrangement or arrangement commitment with Sellerthe Company or the Subsidiary relating to the Business.
