Common use of Transactions with Interested Persons Clause in Contracts

Transactions with Interested Persons. Except as shown on Schedule 4.18, to the Seller’s knowledge, no officer, director or stockholder of the Seller or any of their respective Affiliates, or their respective spouses or children owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, any customer, competitor or supplier of the Seller.

Transactions with Interested Persons. Except as shown on Schedule 4.18, to the Seller’s knowledgeextent described in Schedule 2.19 hereto, no none of any officer, supervisory employee, or director or stockholder of the Seller or any of their respective AffiliatesSeller, the Stockholder or their respective spouses or children children, (i) owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, any customer, competitor or supplier of the Seller, or any organization which has a material contract or arrangement with the Seller, or (ii) has any contract or agreement with the Seller.

Except as shown on set forth in Schedule 4.182.22 hereto, neither Seller, nor any shareholder, officer, supervisory employee or director of Seller or, to the Seller’s knowledge, no officer, director or stockholder knowledge of the Seller or the Management Shareholders, any of their respective Affiliates, or their respective spouses or children owns, family members owns directly or indirectly, indirectly on an individual or joint basis, basis any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of the Seller, or any organization which has a material contract or arrangement with Seller.

Transactions with Interested Persons. Except as shown on Schedule 4.182.15, to the Seller’s knowledgeknowledge of Sellers, no officer, supervisory employee, director or stockholder of the either Seller or any of their respective Affiliatesaffiliate, or their respective spouses or children (i) owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, any customer, competitor or supplier of the SellerBusiness or any organization which has a material contract or arrangement with a Seller pertaining to the Business, or (ii) has any contract or agreement with a Seller pertaining to the Business.

Except as shown on set forth in Schedule 4.182.23 hereto, neither Seller, nor any stockholder, officer, supervisory employee or director of any Seller or, to the Seller’s knowledge, no officer, director or stockholder knowledge of the each Seller or the Principals, any of their respective Affiliates, or their respective spouses or children owns, family members owns directly or indirectly, indirectly on an individual or joint basis, basis any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of the any Seller, or any organization which has a material contract or arrangement with any Seller.

Except as shown set forth on Schedule 4.182.22 hereto, neither Seller, nor any member, officer, supervisory employee or director of Seller or, to the Seller’s knowledge, no officer, director or stockholder knowledge of the Seller or the Principals, any of their respective Affiliates, or their respective spouses or children owns, family members owns directly or indirectly, indirectly on an individual or joint basis, basis any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of the Seller, or any organization which has a material contract or arrangement with Seller.

Transactions with Interested Persons. Except as shown on Schedule 4.184.17, to the Seller’s Sellers' knowledge, no officer, supervisory employee, director or stockholder of the Seller Sellers or any of their respective Affiliatesaffiliate, or their respective spouses or children children, (i) owns, directly or indirectly, on an individual or joint basis, any material interest in, or serves as an officer or director of, any customer, competitor or supplier of the SellerBusiness, or any organization which has a material contract or arrangement with the Sellers pertaining to the Business, or (ii) has any contract or agreement with the Sellers pertaining to the Business.
