Common use of Transactions with Interested Persons Clause in Contracts

Transactions with Interested Persons. Except as set forth in Schedule 2.22 hereto, neither Seller, nor any shareholder, officer, supervisory employee or director of Seller or, to the knowledge of Seller or the Management Shareholders, any of their respective spouses or family members owns directly or indirectly on an individual or joint basis any material interest in, or serves as an officer or director or in another similar capacity of, any competitor or supplier of Seller, or any organization which has a material contract or arrangement with Seller.

Transactions with Interested Persons. Except as set forth in on Schedule 2.22 hereto, neither Seller, nor any shareholder, officer, supervisory employee or director of either Seller or, to the knowledge of Seller or the Management Shareholderseither Seller, any of their respective spouses or family members owns directly or indirectly on an individual or joint basis any material interest in, or serves as an officer or director or in another similar capacity of, any competitor or supplier of Seller, or any organization which has a material contract or arrangement with either Seller.

Except as set forth in on Schedule 2.22 3.16 hereto, neither Seller nor any member, manager, director, officer or supervisory employee of Seller, nor any shareholder, officer, supervisory employee or director of Seller or, to the knowledge of Seller or the Management ShareholdersSeller, any of their respective spouses or family members members, owns directly or indirectly on an individual or joint basis any material interest in, or serves as an officer or director or in another similar capacity of, (a) any competitor or supplier of Sellerthe Business, or any organization which has a material contract or arrangement with Sellerthe Business or (b) any of the Sale Assets.

Except as set forth in shown on Schedule 2.22 hereto4.17, neither Sellerto the Sellers' knowledge, nor any shareholder, no officer, supervisory employee employee, director or director stockholder of Seller orthe Sellers or any affiliate, to the knowledge of Seller or the Management Shareholders, any of their respective spouses or family members owns children, (i) owns, directly or indirectly indirectly, on an individual or joint basis basis, any material interest in, or serves as an officer or director or in another similar capacity of, any customer, competitor or supplier of Sellerthe Business, or any organization which has a material contract or arrangement with Sellerthe Sellers pertaining to the Business, or (ii) has any contract or agreement with the Sellers pertaining to the Business.
