Common use of Transfer Agreement Clause in Contracts

Transfer Agreement. If a Tranche A Lender wishes to assign or transfer all or any of its rights, benefits and obligations under the Credit Agreement in accordance with Section 10.2 of this Schedule “P”, then such assignment or transfer shall be effected by the execution and delivery of a duly completed and executed Finnvera Transfer Agreement by such Tranche A Lender to the Finnvera Facility Agent together with a transfer fee of Cdn.$3,500 (except where the Tranche A Assignee is Finnvera in which case no such transfer fee shall be payable), at least 5 Business Days prior to the effective date of such transfer, whereupon, to the extent that in such Finnvera Transfer Agreement such Tranche A Lender seeks to assign or transfer its rights and obligations under the Credit Agreement:

If a Tranche A B Lender wishes to assign or transfer all or any of its rights, benefits and obligations under the Credit Agreement hereunder in accordance with Section 10.2 of this Schedule “P”14.2, then such assignment or transfer shall be effected by the execution and delivery of a duly completed and executed Finnvera Transfer Agreement by such Tranche A B Lender to the Finnvera Facility B Agent together with a transfer fee of Cdn.$3,500 (except where the Tranche A B Assignee is Finnvera Finnvera, in which case no such transfer fee shall be payable), at least 5 Business Days prior to the effective date of such transfer, whereupon, to the extent that in such Finnvera Transfer Agreement such Tranche A B Lender seeks to assign or transfer its rights and obligations under the Credit Agreementhereunder:
