Common use of TRANSFER AND CUSTODY Clause in Contracts

TRANSFER AND CUSTODY. (a) On the Purchase Date for each Transaction, ownership of the related Purchased Assets and other Purchased Items shall be transferred to Purchaser or its designee (including the Custodian and/or the Bailee) against the simultaneous transfer of the Purchase Price for such Purchased Asset in immediately available funds to an account of Seller specified in the Confirmation and such Eligible Asset shall become a Purchased Asset hereunder, with a simultaneous agreement by Purchaser to transfer to Seller the same Purchased Asset on the applicable Repurchase Date, against the transfer of funds by Seller, in an amount equal to the Repurchase Price.

(a) On the Purchase Date for each Transaction, ownership of the related proposed Purchased Assets and other Purchased Items shall be transferred to Purchaser Buyer or its designee (including the Custodian and/or the BaileeCustodian) against the simultaneous transfer of the Purchase Price for such proposed Purchased Asset in immediately available funds to an account of Seller specified in the related Confirmation and such Eligible proposed Purchased Asset shall become a Purchased Asset hereunder, with a simultaneous agreement by Purchaser Buyer to transfer to Seller the same Purchased Asset on the applicable Repurchase Date, against the transfer of funds by Seller, in an amount equal to the Repurchase Price.
