Common use of Transfer and Exchange of Beneficial Interests in the Global Warrants Clause in Contracts

Transfer and Exchange of Beneficial Interests in the Global Warrants. The transfer and exchange of beneficial interests in the Global Warrants shall be effected through the Depositary, in accordance with the provisions of this Agreement and the rules and procedures of the Depositary, Xxxxxx Guaranty Trust Company of New York, Brussels office, as operator of the Euroclear system ("Euroclear"), and Clearstream Banking, Societe Anonyme ("Clearstream") that apply to such transfer or exchange (the "Applicable Procedures"). Beneficial interests in a Global Warrant bearing the Private Placement Legend (as defined herein) (a "Restricted Global Warrant") shall be subject to restrictions on transfer comparable to those set forth herein to the extent required by the Securities Act. Transfers of beneficial interests in the Global Warrants also shall require compliance with either subparagraph (i) or (ii) below, as applicable, as well as one or more of the other following subparagraphs, as applicable:
