Transfer and Sales Tax Returns. Transferor shall timely prepare and file all Transfer and Sales Tax returns and reports relating to the transactions contemplated by this Agreement. The Transferor Parties shall be jointly and severally liable for any Transfer and Sales Taxes relating to such transactions. Transferor shall furnish to Acquiror a copy of each such Tax Return promptly after it is filed, together with proof of payment of the Transfer and Sales Tax shown thereon to be due.
