Transfer and Similar Taxes. Each party to this Agreement, shall promptly pay all sales, use, privilege, transfer, documentary, gains, stamp, duties, recording and similar Taxes and fees (including any penalties, interest or additions) imposed upon such party incurred in connection with the transactions contemplated by this Agreement (collectively, the "Transfer Taxes"), and each such party shall, at its own expense, procure any stock transfer stamps required by, and accurately file all necessary Tax Returns and other documentation with respect to, any Transfer Tax.
