Transfer by the General Partner; Admission of Transferee. (a) The General Partner may transfer all or any part of its Partnership Interest and any Partnership Interests of the Limited Partners which are Affiliates of the General Partner by sending written notice to the remaining Partners. (b) If the General Partner has transferred all of its Partnership Interest, the transferring General Partner shall be relieved of any further duties or obligations hereunder and shall not be responsible for any liabilities incurred by the Partnership from the date of admission of the transferee as a General Partner.
