Transfer Certificates and Accession Deeds. Each of the other Parties appoints: (a) the Senior Agent as its agent to sign on its behalf any Transfer Certificate or Accession Deed entered into under the Senior Facility Agreement; and (b) the Security Agent as its agent to sign on its behalf any Deed of Accession, in order that each such Transfer Certificate, Accession Deed or Deed of Accession may be supplemental to this Deed and be binding on and enure to the benefit of all the Parties.
