Transfer Letters. Promptly upon request by Lender at any time and from time to time, each Borrower shall execute such letters in lieu of transfer or division orders as are necessary or appropriate to transfer and deliver to Lender proceeds from or attributable to any Borrowing Base Oil and Gas Properties.

Within thirty (30) days following the Closing Date (or such later date approved by Administrative Agent), the First Lien Agent shall have received a Transfer Letter (as defined in the Security Agreement) executed in blank covering each pending or issued Drug Application (as defined in the Security Agreement).
